Business Description

We are a Texas Limited Liability Company formed on January 13,2000. We dp business under the name Ram Jack. We operate from and our principal business address is 13655 OR 1570, Ada, OK 74820. We have no parent company, and there are no predecessors. Our concept was developed by our founder Stepheri Gregory and our affiliate company Gregory Enterprises, Inc. (GEI) which incorporated on January 3,1975 as Gregory Pest Control, Inc. and changed its name on June 29,1984. Its offices are located at 13655 GR1570, Ada, OK 74820. Ram Jack Manufacturing, LLC,;is'a lirriited liability.company, registered in Oklahoma on January 31, 2000. It also offices at 13655 CR 1570, Ada, OK 74820. Ram Jack Manufacturing, LLC. manufactures the licensed products and ofthe equipment Usedln the Ram Jacli^® system., We also have four affiliate owned Ram Jack dealerships with operations similar to the franchises thatwe offer. They are RJT Commercial, Inc., (its operation merged with Ram Jack of Texas which was dissolved as of December 31,2007), RJT Construction, LC, Ram Jack of Oklahoma, Inc. (incorporated oh March 28, 1988 in Oklahoma) and RJ Team USA, LLC (registered August 1,2007 in Oklahoma.) The principal business address of each affiliate is 13655 CR 1570, Ada, Oklahoma 74820. Theirlnformation and principal business addresses are also included in the list of authorized dealers attached as Exhibit G-2 of this Disclosure Document. Additionally, we have two affiliate-oWned companies Ram Jack Solar Solutions^ LLC (registered December 3,2010 in; Oklahoma) and Ram Jack Utility Solutions, LLC (registered July 7, 2009 in Oklahoma) which were formed to joint-venture with Ram Jack dealers to use Ram Jack products, methods and processes for large projects that are notwithin the scope, financial resources or capability of an individual dealer. Both compariies are headquartered at our offices at 13655 CR 1570, Ada, OK 74820. No predecessor or affiliate has offered franchises for this business or any other lines of business.

Prior Experience

Ram Jack Systems Distributioh, LLC'S principal Stephen Gregory began appointing foundation repair dealerships in 1999 arid then we were formed to continue developing the Ram Jack dealerships. We offered short term dealership licenses from our formation until July 2008. Our affiliate company, Gregory Enterprises, Inc. has been in the foundation repair business since 1982. Before Gregory Enterprises, Inc. Was renamed, the company did pest control work, installed swimming pools and began foundation and concrete repair type work. Gregory Pest Control, Inc. changed its name to Gregory Enterprises, Inc. on June;29,1984. Before Ram Jack Manufacturing was foltned in 2001 (see above), GEI manufactured all proprietary and patented products. Rick Sykes & Brad Sykes are Ram Jack dealers who have been operating a prototype seawall repair and stabilization business under the name since March 2008. They executed an operating agreement with us on March 31,2008 as members of a new affiliate company, LLC which was filed in Oklahoma on March 19, 2008 to operate as a separate franchise company. This affiliate LLC was dissolved January 9, 2009.

Business Offered

We offer franchised dealerships, granting the right to operate a foundation repair and piering business under our trade name of "Ram Jack" and Rarn Jack Foundation Solutions and using exclusive patented equipment, products and systemsto Offer high quality foundations solutions for both residential and commercial structures. Operating and franchising Rani Jack dealerships is our only business. Although we intend to concentrate On establishing and expanding our Ram Jack dealership franchises, we reserve the right to develop alteniatiYe tiiethods of distribution of our Products and services.

Initial Fees

For the Ram Jack Foundation Soiutions dealership, ajifranchisees yVill pay an Initial Franchise Fee of $50,000 The initial franchise fees are payable in a luriip sum upon signing the franchise agreement and are non-refundable, with two exceptions described below: Total Initial Fees: The total Initial fees, inpiuding initial franchise fee, that you pay to us will range from $110,536 to $179,326. All franchisees are required to pay: • Initial franchise fee of $50,000 • Training fee of $30,000 to $50,000, the exact amount to be determined based On our eyaiuation of your personal expenence and previous training • Essential Installation Equipment of $20,542 to $34,485, • Tools of $9,994 to $12,291 • Truck trailer of $32,550 which you may purchase from us All initial fees are payable in an lump:sum upon signing the franchise agreement or as arranged with us. Conversion: All or part Of the initial fee may be waived if you are an existing dealerwishing to convert to ajfranchise, or are already operating a foundation repair bUSioess using a different system and wish to become an authonzed Ram Jack dealer. Whether we will do so and the amount of the fee we will waive will be based on your experience, credit standing and general business credentials. Financing

Neither we nor any affiliate currently offers, directly or indirectly, any financing arrangements, to any franchisee. Neither we nor any affiliate guarantee your note, lease, or Obligation. We are unable to estimate whether you wilfbeiable to obtain financing for any part or all of your investment in otir franchise and, if so the terms and conditions of financing qualifications. We suggest you review any financing dpGumerits with yourfinancial,, legal or business advisors before signing any binding documents. You are free; to choose any lender or form of financing you prefer. Although not obligated to dp so, we currently provide our franchisees imgood standing wjth 30 day open account terms on your purchase of Products from us. Our current terms are generally a (2%) Percent .discount if paid within fflepn (15) days of invoice datei or full invoice amount due no later than thirty (30) days from invoice date. Discount;applies only tO.prpducts on an invoice and,does not applyrto freight, Our current products sales terms arid conditions are included as Exhibit B to the Franchise Agreernent which is attached as Exhibits C of this Disclosure Document. We do hot have any pastor present practice, nor .any intention^ to sell, assign of discount to any third party any note, contract Or other instrument you execute.

Franchisee Revenue and Profit
