Business Description

We are a Georgia corporation, incorporated on November 25, 1996. The principal business and mailing address of the Company is 1690 Roberts Blvd. NW Suite 120 Kennesaw, Georgia 30144. The telephone number is (770) 977-8787 and the FAX number is (770) 977-0133. The Company's agent for service of process is disclosed in Exhibit B. We do not have a predecessor company or parent company. We have one affiliated business entities and four affiliated company locations. Our affiliated business entity is Rytech Admin Services, LLC is headquartered at 1690 Roberts Blvd. NW, Suite 120, Kennesaw, GA 30144 which has been in business since 2015. We formed Rytech Admin Services, LLC on January 1, 2015. Our affiliated company locations are: (1) Rytech North Florida, Inc., 1882 Nightfall Drive, Neptune Beach, FL 32266 which also operates RYTECH of Orlando, 1335 Bennett Dr., Unit 111-Longwood, FL 32750; (2) Rytech of Tampa and St. Petersburg, 3725 Cold Creek Drive, Valrico, FL 33594); (3) Rytech of Southern FL Inc. which also operates Rytech Sarasota-South West Coast, 2467 Starview Ave., North Port, FL. 34288 and Rytech Panhandle – PCB West, 717 Melanie Lane, FT Walton Beach, FL. 32547; and (4) Rytech, Inc., 1690 Roberts Boulevard NW, Suite 120, Kennesaw, GA 30144 which operates the Kennesaw Georgia locations.

Prior Experience

We are engaged in the sale of Rytech service business franchises. As of the date of this offering, there are 43 franchised locations and 5 Company Affiliated locations. For more information on our franchised and company owned outlets see Item 20 ("List of Locations"). We have been offering and selling Rytech service business franchises since December 1996. Except as described above, neither the Company nor any affiliate has ever been engaged in, or offered franchises in, any other lines of business

Business Offered

We offer and sell franchises for the "Rytech" service business. This service business specializes in water damage restoration, insurance restoration services, applied structural drying, mold remediation, restorative drying services business, fire and smoke damage cleaning and mitigation, and other ancillary products and services. Future offerings may include residential insurance restoration general contracting. The Company is not engaged in any other business. From time to time the Company may also own or operate similar businesses, but it does not do so at the present time.

Initial Fees

Upon execution of the Franchise Agreement you must pay to us an initial franchise fee of $39,900.00 per minimum population of 400,000. Except as listed below, this fee is fully earned and non-refundable in consideration of administrative and other expenses incurred by us in entering into the Agreement and for our lost or deferred opportunity to enter into the Agreement with others. There is no financing available from us for the payment of the Initial Franchise Fee. When you sign the Agreement, you must pay the initial franchise fee by certified or cashier's check. Veterans Discount: We offer veterans a discount of $15,000 off the initial franchise fee. Expanding Franchisee: We offer our franchisees in good standing a $5,000 discount off the initial franchise fee.

Financing

We will not offer, directly or indirectly, any arrangements for financing your initial investment or the operation of your business. We are unable to estimate whether you will be able to obtain financing for all or any part of your investment and, if you are able to obtain financing, we cannot predict the terms of financing. We do not receive any direct or indirect payments for the placement of financing. We do not guarantee your notes to third parties.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable bases for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 maybe given only if: (1) A franchisor provides the actual records of an existing outlet you are considering buying; or (2) A franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances. We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet. If you receive any other financial performance information or projections of your future income, you should report it to the Franchisor's management by contacting William D.
