Business Description

We conduct business under the name of our corporation and Garage Experts. We are a California limited liability company, organized oil September 22, 2008. We have offered franchises to operate “Garage Experts” businesses, (“Businesses”) since December 12, 2008. We have not previously engaged in any line of business or offered. Franchises for Businesses. We have not previously offered ftanchises.in any other line of business, nor do we operate any Garage Expert businesses. We do not have any predecessors. Exhibit G contains our Agents for Service of Process, We are a wholly owned subsidiary of GEI Investment Holding,.LLC (“GEIH”)j a Nevada limited liability company formed on December 20, 2013- We have affiliates. Versatile Building Products; LLC (“VBP”) and VBP Leasing LLC (“VBP Leasing”). VBP is a supplier of installation equipment computer hardware and software, and garage flooring and other products to franchisees. VBP Leasing does not offer products or services to our franchisees. Our principal address and that of GEIH, VBP, and VBP Leasing is 245 Carl Karcher Way, Anaheim, CA 9280L Neither GEIH, VBP nor has VBP Leasing offered franchises in this or any other line of business.

Business Offered

You will operate under the “Garage Experts'' name and service mark a primarily mobile business offering customized resident!^ garage; floor coating and storage solutions, industrial floor coatings for retail stores and commercial buildings. You will sign a Franchise Agreement (Exhibit A) to operate your “Garage Experts'' business. In addition, you must maintain an office location (“Office) where you can accept delivery of supplies and products necessary for you to operate your Business. The Office tray be located at your personal residence. It may also be a shared office or a warehouse storage unit, provided it must meet our policies and must be approved by us.

Initial Fees

The initial franchise fee for a new franchise is $15,000 per month with additional contiguous territories available for purchase if approved for $10,000 per territory. We offer a 10% discount on the initial franchise fee for a Veteran honorably discharged from any branch of the US Armed forces within ten (10) years of applying for a franchise with us. The initial franchise fee for the number of territories purchased, with, one as a minimum^ is due to us in full when you return to us singled copies of your Franchise Agreement, and before you attend initial training. The Initial franchise fee is fully earned when paid and are hot refundable In addition, if: you do not earn total gross sales of:|750i000 in the first three years of operation following the effective date- of this Agreement^ aid you have been operating iii camphene with your, Franchise Agreement, and our Operations Manual, then we will refund to you 115,000 of initial franchise fee through a Royalty Holiday, meaning that you will not pay Continuing Royalties of $1,800/month for 8 1 /3 months, Installation Equipment and Computer Hardware and .Software. You must ^so pay to our affiliate. Versatile Building Products, LLC (‘‘VBP”) approximately $20,377 for installation equipment and computer hardware and software. These fees are refundable, less a 20% restocking fee, if you return these items unused to VBP. Option Fee. We may allow you to enter into an Option Agreement; for the one year right to purchase one or more additional territories for $2^500 per territory. We credit the $2,500 Option Fee against your Initial franchise fee if you purchase the Territory. We refund the Option Fee to you if we cancel the Option Agreernent before, the one year term has expired because we have decided to sell the territory to another prospect. See: Exhibit B.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the; actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance intonation that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided iii this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances. Financial Performance Representation Average Gross Sales. Average Material Costs and Average Gross Profits Here we set forth 2018 data for Average Annual Gross Sales and Average Cost of Goods Sold and Average Gross Profits of25 reporting franchised Outlets that had been open fora full year as of January 1, 2018 and operated for a full year in 20l8., In 2018 we had 49 (Two outlets had multiple territories in this period) such outlets, 23 of which reported their Gross Sales, Cost of Goods Sold and Gross Profits. Note l-“Gross Sales” means the total of all revenues received or receivable by Franchisee as payment, whether in cash, by debit card or for credit or barter or other means of exchange (and, offer credit or barter, whether or not payment is received direful)^ on account of any and goods, merchandise, services, and supplies sold by the Franchised Business, or which are promoted or sold by* Franchisee under any of the Marks, whether or not Company offers such services or products in other locations, including; (a) revenues from sales of any nature or kind whatsoever^ derived by Franchisee or by any other person or Business Entity (including franchise Affiliate(s)) from the Franchised Business; (b) sales of Authorized Products and Services in Contravention of this Agreement from businesses other than the Franchised Business; (c) the; proceeds of any business interruption insurance, after the satisfaction of any applicable! Deductible; (d) mail or telephone orders received or filled in Of from the Franchised Business; and :(e) orders taken in or from the Franchised Business although filled Or profaned elsewhere. Understanding the foregoing, “Gross Sales” exclude the following: (I) Sums representing, sales taxes collected defect from customers by Franchisee in the operation of the Franchised Business, and any sales, value added or other tax,, excise or duty charged to customers which is levied or assessed against franchise by any Federal, state, municipal or local authority based on sales of specific goods, merchandise, services, and supplies sold at, from, or in connection with the Franchised Business, provided that such taxes Me actually transmitted to the appropriate Governmental Authority; and (u) Sums representing tips, gratuities or service: charges paid directly by customers to employees of Franchisee or paid to Franchisee and promptly and to the extent turned over- to such employees by Franchisee in he of direct tips or gratuities; and (hi) Proceeds from isolated sales of equipment and trade fixtures not constituting any part of Franchisee's products and services offered in connection with the Franchised Business nor having any material effect upon the ongoing operation of the Franchised Business required under this Agreement. Note 2- For Average Material Costs, an outlet attained or surpassed the stated restrict if its Material Costs was equal to or less than the stated result. The materials costs were calculated using VBP sales records of goods sold to outlets. Materials VBP sold to outlets consisted of liquid Coatings, cabinets, storage products and sundry items. Costs. Note: 3- “Average Gross Profit” means Average Gross Sales less Average Material Note' 4- Median Gross Sales in the sample used in the above table was 1368,500,, the lowest Gross: Sales was f4,9,027,iand the highest was $1.2M; Median Gross Profit was |249,743, the lowest gross profit: was $49,027 and the highest was $876,674. These include, but are not limited to, the general market for our services in your area, competitive factors from other cornpones offering, similar services in your market,; and the success of your efforts to market your services, offer high customer service, and generally follow our Operations Manual and system. Some outlets have earned this amount. Your individual results may differ. There is no assurance you will earn as much. Written substantiation for these financial performance representations are available to you upon reasonable; request. Other than the preceding financial performance representation. Garage Experts does do not make; any financial performance representations. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet.
