RPM Summit Group, LLC, a Nevada limited liability company ("Franchisor"), was organized on March 31, 2010, and is the franchisor for Rocket Fizz Shops Our principal business address is 770 Mays Boulevard #5400, Incline Village, Nevada 89450 To simplify the language m this Disclosure Document, "Franchisor," "we" and "us" means RPM Summit Group, LLC "You" or "Franchisee" means the business entity, person or persons who sign the Franchise Agreement Parents, Predecessors and Affiliates We have no predecessors or parent companies Our affiliate. The Rocket Fizz Soda Pop Shop, LLC ("Rocket Fizz LLC"), was organized in California on November 19,2007 Rocket Fizz LLC offered licenses for the Rocket Fizz retail concept for sale m the United States from June 2009 through June 2010 No Rocket Fizz shops are currently operating under license agreements Rocket Fizz LLC no longer offers Rocket Fizz licenses to others Rocket Fizz LLC operates one Rocket Fizz Shop in Camarillo, California, which is a business similar to the type operated by our franchisees We have offered franchises for sale since June 2010 Neither we, nor Rocket Fizz LLC have conducted business m any other line of business or offered franchises m any other lines of business Our other affiliate, R3 Distribution, LLC ("R3 Distribution") was organized m Nevada on November 5, 2013 Our franchisees must purchase certain proprietary products ("Rocket Fizz Proprietary Products") and may purchase other products from R3 Distribution at wholesale prices for their Rocket Fizz Shops, R3 Distribution derives revenue from the sale of products to franchisees as further described m Item 8 R3 Distribution has not offered franchises m any other line of business The principal business address for Rocket Fizz LLC and R3 Distribution is 770 Mays Boulevard, #5400, Incline Village, Nevada 89450

Initial Fees

We have developed the Rocket Fizz system (the "Rocket Fizz System") for the operation of Rocket Fizz Shops that use the trade name "Rocket Fizz" and other related trademarks, service marks, logos and commercial symbols (collectively, the "Rocket Fizz Marks") and offer and sell unique, old-fashioned sodas, cutting edge new-to-market beverages, energy drinks, hard-to-find candy brands, other confections and novelty items We offer 2 separate franchises m this Disclosure Document, though we may not necessarily grant you the opportunity to purchase under either of these programs Single Shop Program Under this program, you will sign a location that you choose and that we accept (the "Franchised Location") Area Development Program Under this program, we will assign you a defined area (the "Development Area") within which you, as an area developer ("Area Developer"), must develop and open a minimum of 2 - 3 Rocket Fizz Shops within a specified period of time The Development Area may be one city, one or more counties, or some other defined geographic area You will generally have the opportunity to develop the number of Rocket Fizz Shops that you choose, although we may not always afford you the opportunity to develop the number of Rocket Fizz. Shops that you request You will sign an Area Development Agreement (Exhibit that will describe your Development Area and your development schedule and obligations You and we will determine your Development Area and the number of Rocket Fizz Shops that you will develop and open on a case-by-case basis before you sign your Area Development Agreement You must sign a separate Franchise Agreement for each Rocket Fizz Shop that you will open under the Area Development Agreement The Franchise Agreement for your first Rocket Fizz Shop will be m the form attached as Exhibit A to this Disclosure Document The Franchise Agreements you will sign for your additional Rocket Fizz Shops will be signed after we accept the site for each Rocket Fizz Shop and will be our then current form of Franchise Agreement that we are then offering to new franchisees, which may contain terms and conditions that are materially different from the form of Franchise Agreement attached to this Disclosure Document as Exhibit A

Financing

The Initial Franchise Fee is generally paid in full when you sign our Franchise Agreement We may, at our option, finance a portion of the Initial Franchise Fee if you meet our then-current criteria for financing If we do provide financing, the amount financed will be payable m full, with interest at a rate equal to the Prime Rate of interest as published by the Western Edition of the Wall Street Journal, in up to 12 months after we sign the Franchise Agreement You must sign a Promissory Note and a Guarantee for the amount we finance Repayment of the amount financed will be secured by the assets of your Rocket Fizz Shop You may prepay the amount financed with no prepayment penalty If you default under your financing arrangement with us, or if you are in default under your Franchise Agreement, we may demand immediate payment of all principal and interest due under the Promissory Note You waive all rights of presentment, protest and demand, notice of protest, demand, dishonor and nonpayment, notice of acceleration, notice of intent to accelerate, and any and all other similar notices, except the notice of default to be given if you don't make your payments under the Promissory Note We do not plan to sell, assign or discount to a third party any financing arrangement disclosed above

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included m the Disclosure Document Financial performance information that differs from that included in Item 19 may be given only if (1) a franchisor provides the actual records of an existing outlet you are considering buying, or (2) a franchisor supplements the information provided m this Item 19, for example, by providing information about possible performance of a particular location or under particular circumstances We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets We also do not authorize our employees or representatives to make any such representations either orally or m writing If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet If you receive any other financial performance information or projections of your future income, you should report it to the franchisor's management by contacting Richard Shane at 770 Mays Boulevard, #5400, Incline Village, Nevada 89450, Telephone (650) 315-4882, and e-mail rich@rocketfizz com, the Federal Trade Commission, and the appropriate state regulatory agencies
