Food to You USA, line. A California corporation with a principal business address at 1700 Tribute Road, Suite 203, Sacramento, CA 95815, from 2003 to 2017. From November 1993 to February 2003, our CEO, Darren McAdams, operated Food to you as a Sole proprietorship; we do business as “FoodJets.” Exhibit contains our agents for service of process. We are a Delaware Limited Liability Company formed on October 13, 2017.

Prior Experience

We have offered franchises of the type offered here since March 2018. Our prior affiliate, Food To You USA, Inc. had one Licensee in California from 2007 - 2017 who offered services similar to the franchise being offered through this disclosure document. Our prior affiliate. Food to You USA, Inc., had operated a business similar to the franchise being offered through this disclosure document from 2003 to 2017. From November 1993 to February 2003, our CEO, Darren McAdams, operated Food to you as a sole proprietorship. Our affiliate, FoodJets, Inc. has operated a business similar to: the franchise being offered through this disclosure document since 2015. FoodJets, Inc. does not offer franchises or provide products or services to our franchisees. Since March 2018, through a separate disclosure document, we have offered m Area Representative Franchise opportunity to solicit and support FoodJets unit franchisees. Area Representatives may have some management responsibilities related to the sale or operation of unit franchises. We attach here as Exhibit a list of Area Representatives and further disclosures about them as to Items 2^ 3, 4, and 11 of this disclosure document. Otherwise, neither we nor our affiliate has offered franchises in any line of business or provide products or services to franchisees of this franchise offering

Business Offered

We do not operate a business of the type being franchised. We do not engage in other business activities except the offering of franchises as disclosed here. The franchise offered is to operate an online local restaurant food ordering and delivery service, (“Franchised Business”). You will solicit restaurant clients to list their menus on our website from which consumers can place food orders. Drivers who serve as your contractors or employees will then deliver the food to the consumer. You will market your services in your local area to increase brand awareness and sales, and we will pay to you a percentage of the restaurant sales. Referral Program. We encourage franchisees to refer prospects to us and answer questions such prospects may have. To compensate for time expended, we pay $7,500 for a referral of a prospect to us who ends up purchasing a franchise.

Initial Fees

You must pay to us an initial franchise fee of $30,000 for a territory in a Market Area containing a population of approximately 100,000 people and 150 or more restaurants. You may purchase an additional contiguous or nearby Zone in the same Market Area for $25,000, then any additional Zone for $2O,OO0 each, if purchased at the same time. We use the U.S. Census Bureau or another source we deem reliable for population data. You must also purchase approximately $600 of tablets from us before you open for business. The initial franchise fee is due to us in full when you return to us signed copies of your Franchise Agreement. The initial franchise fee is fully earned and nonrefundable upon your signing of the franchise agreement and receipt of the funds by us. The fee for the tablets is also nonrefundable.

Financing

The required down payment, amount financed, term, and interest rate will vary depending upon your creditworthiness, down payment, desired term, and industry experience Exhibit D contains the form of Promissory Note that you must sign for us to extend financing to you. We do not guarantee you notes, leases, or obligations. We do not have any past or present practice to sell, assign or discount to any third party, any note, contract or other instrument signed by you, but: we reserve the right to do so. We do not receive any direct or indirect payments or other consideration for placing financing.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document, Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular Circumstances. We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. If you are purchasing an existing outlet, however, we may provide you with actual records of that outlet.
