Business Description

We are a Delaware limited liability company organized on July 1, 2014. Our agents for service of process are disclosed in Exhibit G. We do business under the name "Homes & Land." We offer franchises for real estate advertising businesses. We acquired the real estate marketing systems, franchise agreements, and trademarks from Homes & Land Affiliates, LLC, our predecessor, (described below) in July 2014. We do not operate businesses of the type we franchise, and we do not offer franchises in any other lines of business. However, our affiliate, NewPoint Homes, LLC C'NPH") owns and operates Homes & Land businesses. Estates & Homes businesses, and Rental Guide businesses, but no Home Guide businesses. Our principal business address is 12912 Hill Country Blvd., Suite F-245, Bee Cave, Texas 78738. NPH shares our principal business address. Our parent company is NewPoint Media Group Holdings, LLC C'NP HOLDINGS"). The principal business address for NP HOLDINGS is 12912 Hill Country Blvd., Suite F-245, Bee Cave, Texas 78738.

Prior Experience

Our predecessor is Homes & Land Affiliates, LLC C'HLA"), a Delaware limited liability company, whose principle address was 1830 East Park Avenue, Tallahassee, Florida 32301. From 2004 to 2014, HLA offered franchises for "Homes 8i Land" magazines and other format real estate magazines. HLA did not operate businesses of the type that it franchised, nor did it offer franchises in any other line of business. However, from 2004 through 2014, HLA's affiliate. Homes 8i Land, LLC operated Homes 8i Land businesses and Rental Guide businesses, but no Estates & Homes or Home Guide businesses

Business Offered

This franchise disclosure document describes the franchise for a Homes & Land marketing system, which publishes and distributes the "Homes & Land" magazine, as well as the franchise for an Estates & Homes marketing system, which publishes and distributes the "Estates & Homes" magazine. We no longer offer Home Guide franchises, however, for renewing or transferring Home Guide franchises, the Home Guide business is covered by a different form of franchise agreement and may be described in a separate franchise disclosure document. The franchise for a "Rental Guide" magazine is also covered by a different form of franchise agreement and may be described in a separate franchise disclosure document

Initial Fees

You must pay us a franchise fee when you sign the Franchise Agreement. If you are a new franchisee acquiring a new franchise, the franchise fee is $27,000, except (a) this fee is $13,500 if you are a military veteranv, and (b) the exact amount of the fee will be mutually determined with respect to Converting Distributors. (As we did not previously have any Converting Distributors, we have no information of the range of such fees at this time.)

Financing

We do not offer direct or indirect financing to you, except we may defer 50% of the franchise fee for a new franchisee (see Item 5), at our sole discretion. We are unable to estimate whether you will be able to obtain financing for any part or all of your investment, and if so, the terms of the financing. We do not guaranty your notes, leases, or other obligations

Franchisee Revenue and Profit

The FTC's Franchise Ruie permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the Disclosure Document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances
