Business Description

We were originally formed as Hispanic Tax, LLC (a Virginia limited liability company) on April 18, 2014. In July 2014, we formally changed our name from Hispanic Tax, LLC to SiempreTax LLC and then, in July 2016, from SiempreTax LLC to SiempreTax+ LLC. Our affiliate, JTH Tax, Inc. ('JTH Tax,' 'Liberty' or 'Liberty Tax Service') is a Delaware corporation incorporated on October 23, 1996. JTH Tax does business as 'Liberty Tax Service' and franchises income tax preparation offices under the Liberty Tax Service trademarks. JTH Tax has been in the income tax preparation business and has offered franchises in this business since 1997. JTH Tax has not offered franchises in any other line of business. On September 23, 2010, JTH Tax incorporated JTH Holding, Inc. ('JTH Holding') in Delaware. In July 2014, we formally changed the name of JTH Holding to Liberty Tax, Inc. ('LT, Inc.') LT, Inc. functions as a holding company, which owns JTH Tax, Inc., JTH Financial, LLC ('JTH Financial') and us. LT, Inc. has never offered franchises in any other line of busines

Prior Experience

On November 30, 2006, JTH Tax incorporated in Virginia a wholly owned subsidiary, LTS Software, Inc. ('LTS'). In December 2006, LTS purchased all the tax preparation related assets of a California online tax preparation company, C&S Technologies, Inc., which offered online income tax preparation through the website www.esmarttax.com. In December 2012, LTS purchased certain tax preparation related assets of CCH Incorporated which offered online tax preparation at www.CompleteTax.com. LTS has never offered franchises in any line of business.

Business Offered

We offer franchises to develop and operate income tax preparation offices using the Marks listed in Item 13, any further marks we develop, and our proprietary business methods and marketing techniques in a specified geographic territory. SiempreTax+ offices focus certain marketing and personnel efforts on serving the Spanish-speaking Hispanic market, but serve all customers. We currently offer you two purchase options. The first option is to purchase rights to develop and operate an SiempreTax+ office only ('Option 1'). The second option is to purchase rights to develop and operate a SiempreTax+ office for a lower initial franchise fee if you also purchase rights to develop and operate a Liberty Tax office in the same Territorial Area, as described in Item 5 ('Option 2'). We do not require that you read, speak or comprehend Spanish, but your employees that are reasonably expected to interact with customers are required to be fluent in Spanish.

The initial and resale franchise fees range from $25,000 to $40,000 and will be determined based on several factors, including the total population of the territory, the demographics and growth rates of the territory and whether the territory contains a P

Financing

We may, in our sole discretion, provide financing to you that may be used to finance a portion of your initial franchise fee, operating capital, or the initial franchise fee of additional territory purchases by existing franchisees. If you own your franchise in a corporation, limited liability company ('LLC') or partnership, we will not generally lend half or more of the initial franchise fee to you and it may be more difficult to obtain further financing from us later if you request it

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the Disclosure Document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances.
