ActionCOACH OneCo, LLC, is a limited liability company with its principal business address at 5781 S. Fort Aipache Road, Las Vegas, NV 89148. We were organized under the lavys Of the State Of Delaware oh April 19, 2012 by ActionCOACH America, Inc. (“ACAI') as majority shareholder together with 3 former master licensees in the Territory, namely. Business Leyerage, LLC, e*$pur, Inc., Gulf South Strategies, LLC and Old Dominion Capital Solutions, Ihc. We acquired a major portion of our assets and business from ActionCOACH USA, Inc. and ACAI. ACOC has appointed agents for service of process in certain states; those agents are listed in Exhibit H,

Prior Experience

From September 2010 until July 2012, ActionCOACH America, Inc. (“ACAI”) offered Business Coach Franchises in certain areas of the Territory Under a Master License Agreement from ActionCOAGH USA, Inc. (“ACUI”). A;GAI and ACUl are both corporations organized under the laws ofthe State of Nevada and both have its principal business address at 5781 S. Fort Apache Road, Las Vegas, NV 89148. ACAI was organized July 9, 20lO while ACUl was organized on April 30, 1998.

Business Offered

The ActionCOACH Business Coach Franchise business provides a number of Services to owners of small: and medium-sized businesses (“Clients”). The major offerings are business coaching, mentoring and training in sales, marketing and business management. The franchise business also markets a range of buSiness-bujIding products designed to help Clients enhance their business knowledge and personal development. These services are offered through BuSiness Coaches. The Business Coaches are not trained or authorized by us to offer legal or accounting advice to Clients.

Initial Fees

For a FIRM franchise you will pay Us a franchise fee of $70,000 for a DDMA with a population of approximately 10,000 businesses

Financing

Neither we nor ACNA nor its affiiiates offer any direct or indirect financing to you. We wil not guarantee any note, iease, or other obiigation you may make to Others.

Franchisee Revenue and Profit

The FTC'S Franchise Rule permits us to provide iriformation about the actual or potential financial performance of its franchised and/or franchisor-oWned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) we provide the actual records of an existing outlet you are considering buying; or (2) we supplement the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances.
