Prior Experience

We began offering franchises in February 2006, We haye never operated an, AmSpirit,Business. We have never offered franchises in any other lines of business. We are, not engaged m other business activities. AmSpirit Business Connections^ Inc., our Affiliate,, began organizing and operating AmSpMt Business Cormections Chapters in 2004 and has conducted for fourteen (14) years the type of business that you \vill operate. As of the date of this disclosure document our Affiliate Operates One AmSpirit Business in Ohio, with approximately 8 AmSpirit Chapters, one of which is operated by an AmSpirit Area Director, Our Affiliate has never offered franchises in any line of business. AmSpirit Holding, Company has never operated an ArnSpirit Business: or offered franchises in any line of business.

Business Offered

We are hi the business of franchising AmSpirit Businesses under uniform and distinctive methodsi plans, standards,r, specifications and systenis, as periodically modified by us (referred to in this disclosure document as the“AmSpMt System”), and other Special characteristics identified to the public by the tradeniarkSi service marks, trade names, emblems, signs, slogans,, insignia and copyrights as have been designated by us for use in Connection with the AmSpirit System (referred to: in. this disclosure document as the “Marks”). We do not operate other businesses or franchises. Selling franchises for, and supporting the operation of, franchised AmSpirit Businesses; is our sole line of business.

Initial Fees

Typically, neither we nor our Affiliate offer financing of the initial franchise fee, or, if applicablei the Going Concern Payment, but we may do so periodically^, on a case-by^case basis' with terms and conditions designed to meet your and our particular needs, capabilities and financial requirements.
