Business Description

The Company is a limited liability company organized in October 2010 in the State of Florida. On April 6, 2012, the Company was initially capitalized and began operations on April 9, 2012. Our principal place of business is 2121 Vista Parkway, West Palm Beach, Florida 33411. We do business under our corporate name, SuperGreen Solutions and SuperGreenSolutions.com. We do not have any predecessors or a parent entity. Our agents for service of process are listed in Exhibit D to this Disclosure Document

Prior Experience

SGS offers to you, our customer, the right to own and operate a full service SuperGreen Solutions Business. In your Business you will use our trademark, trade name and logos (the “Marks”), and our proven and sophisticated procedures and trade secrets (our “System”). A SuperGreen Solutions Business provides a long-term, holistic solution to the energy needs and sustainability goals of businesses and commercial and residential property owners by offering sustainability advisory services; energy auditing; sustainability planning; energy efficient products which both lower energy bills and the carbon footprint of its customers; a sustainability certification process; a promotional process of the certification to the client's markets; and a sustainability award process for the client. The previously mentioned products include solar power, efficient water heating systems, atmospheric water filters, window inserts for sound mitigation, skylighting and natural lighting systems, LED and other efficient lighting, ventilation, weatherization, and insulation, energy management and climate control systems. In addition to selling these products, your SuperGreen Solutions Business will conduct an energy assessment; advise the client on a sustainability program; develop the enhancements plan; coordinate the design, construction and installation of these products at the customer's location; manage the client's certification as a sustainable business; promote the client's status to the market; and help the client achieve the SuperGreen Solutions Green Compass Award for sustainability.

Business Offered

We grant franchises to qualified persons for the right to own and operate a SuperGreen Solutions business (the “Business”) under the terms of our standard Franchise Agreement (a copy is attached as Exhibit A). We started granting franchises for SuperGreen Solutions retail stores in April 2012. We owned and operated one SuperGreen Solutions store located in North Palm Beach, Florida from May 2013 to November 2014 when we sold the business to a new franchisee. The Business may initially be established and operated from a virtual office or shared office space and as the Business expands is likely to require a leased office or leased office with an attached warehouse

Initial Fees

Except as noted below, all franchisees purchasing a new SuperGreen Solutions franchise pay an initial franchise fee of $29,500, plus taxes, when they enter into our Franchise Agreement. Prior to signing the Franchise Agreement, you will be required to pay a $9,500 deposit (commonly referred to as a “binder”). At least 14 days prior to paying this binder, we will provide you with a copy of this Disclosure Document, together with a copy of all proposed agreements relating to the sale. This binder is fully refundable if you do not purchase a SuperGreen Solutions franchise. On the date you enter into your Franchise Agreement, the binder is applied against the initial franchise fee leaving a remainder of $20,000 to be paid at the time of signing the Franchise Agreement. The initial franchise fee is non-refundable. If you are an owner of an existing SuperGreen Solutions franchise, you will pay a reduced non-refundable franchise fee of $19,500 for an additional outlet. If you are converting an existing business offering energy efficient products and services to a SuperGreen Solutions franchise you will pay an initial franchise fee of $24,500, which is nonrefundable and must be paid at the time of signing the Franchise Agreement. In addition, if you are purchasing an existing resale SuperGreen Solutions franchise, the seller will pay to us $19,500 or the then current transfer/training fee from the closing proceeds as described in Items 6 and 7.

Financing

Neither we or our affiliates offer directly or indirectly any arrangements for financing of any initial investment expenditures or the expenditures for the continuing operation of your franchise. We do not guarantee your note, lease or any other obligation.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual financial performance of its franchises and/or franchisor-owned units, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location of under particular circumstances.
