Business Description

We are a Florida corporation established on October 27, 2014. Our business address is 3615 East 7th Ayenue, Tampa, Florida 33605. We conduct business under our corporate name Spaulding Decon Industries, Corp. and under the Spaulding Decon trade name. Our business is operating the Spaulding Decon Business franchise system and granting franchises to third parties like you to develop and operate a Spaulding Decon Business.

Prior Experience

We began offering franchises on February 15, 2015. We do not operate any of a Spaulding Decon Business, but our affiliate, Spaulding Decon, LLC ("SDC") has owned and operated a Spaulding Decon Business in Tampa, Florida, since its inception in Missouri on November 1,2005. SDC relocated to Tampa on June 12, 2006. The business of SDC is substantially similar to the Spaulding Decon Business franchise offered under this disclosure document. Other than as discussed above, we are not in any other business, we have not conducted business in any other line of business and we have not offered or sold franchises in any other line of business. We do not have any predecessors and we do not have any parent company. Our registered agents for service of process, are disclosed in Exhibit B of this Disclosure Document

Business Offered

We license a system (the “System”) for the operation of a Spaulding Decon business that provides professional decontamination, cleanup, restoration, and removal services, including bio-hazard cleanup, crime scene cleanup, decontamination, microbial remediation, hording cleanup, meth lab testing and other services and products (the “System Services and Products”). The System' is'presently identified by the Spaulding Decon trademark, logo and such other trade-names, trademarks, and logos that we designate and as we may modify and adopt from time to time for use in the System (collectively referred to as the “Licensed Marks”). The System also features and requires, as designated by us, your exclusive use of certain equipment, materials, and supplies designated by us (collectively, the “System Equipment and Supplies”) and you are required to purchase the System Equipment and Supplies through us, our affiliates or our designated approved suppliers. The System also requires that you operate the Franchised Business in confonnity with the specifications, procedures, criteria and requirements that we designate in our confidential operations manual and other proprietary manuals that we may designate and loan to you and, as we may, from time to time, supplement and modify (collectively, the “Manuals”). We refer to businesses in our System as “Spaulding Decon Businesses” and we refer to the Spaulding Decon Business that you will develop and operate as either “your Spaulding Decon Business” or the “Franchised Business

Initial Fees

Initial Franchise Fee When you sign a Franchise Agreement you must pay to us a non-refundable initial franchise fee (the “Initial Franchise Fee”) of Forty Eight Thousand Five Hundred ($48,500) Dollars. The Initial Franchise Fee is fully earned by us upon payment, represents consideration for an operating territory as referenced in Item 12 of this Disclosure Document and, is used in part to defray our costs for providing initial training and other services. The method we use to calculate the Initial Franchise Fee is unifonn for all franchises that we offer through this Disclosure Document, except that we offer the following discounts which cannot be combined with one another and which must be requested by you in writing at the time of signing the Franchise Agreement: a) Existing Franchisees - For our existing Spaulding Decon Business franchisees who enter into additional Spaulding Decon Franchise Agreements and who are in good standing with their existing Spaulding Decon Franchise Agreement(s) we offer a Ten Thousand ($10,000) Dollar discount off of the Initial Franchise Fee. b) Multiple Franchise Agreements - If, at the time of signing your first Franchise Agreement with us, you are approved by us to enter into multiple Franchise Agreements for the operation of Spaulding Decon Businesses within multiple operating territories, we offer a Ten Thousand ($10,000) Dollar discount off of the Initial Franchise Fee for each additional Franchise Agreement. This discount does not apply to the Initial Franchise Fee for your first Spaulding Decon Business Franchise Agreement. c) Qualified U.S. Military Veterans and First Responders - For qualified individuals who were honorably discharged from any branch of the United States Military or were a First Responder in the police or fire department, the Initial Franchise Fee is discounted by ten (10%) percent. Initial Technology Fee You must pay us an initial license fee in the amount of Two Thousand Five Hundred ($2,500) Dollars for the initial CRM license fee. Initial Equipment and Supply Package You must pay to us Thirty-Three Thousand ($33,000) Dollars for the purchase of our initial equipment and supply package.

Financing

We do not offer direct or indirect financing. We do not guarantee any note, lease or other obligation on your behalf

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide infomiation about the actual or potential financial perfonnance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the infonnation, and if the information is included in the disclosure document. Financial perfonnance infonnation that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) franchisor supplements the infonnation provided in this Item 19, for example, by providing infonnation about possible perfonnance at a particular location or under particular circumstances. We do not make any representations about a franchisee's future financial perfonnance or the past financial perfonnance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet.
