Business Description

We are an Indiana limited liability company,, incorporated on May 29, 2015. We do business under the same narne as our corporate name“Recycled Granite Franchise, LLC” and may also use the name “Recycled Granite”, “Recycled Granite Eco, Shop” or “My Choice' Recycling”. Our principal business address is 1952 US Highway 41, Schererville, Indiana 46375. We operate and sell franchises for the operation of a business known as “Recycled Granite™” (the “Business”, “Franchise” or “Franchised Business”). We offer a Franchise Agreement for the development and operation of a granite .and stone recycling business, which is within a protected territory. This is the first time RQF has; offered franchises of the type described in this Disclosure Document; and RGF has never offered franchises in any other line of business. Our agents for service of process are disclosed in Exhibit B.

Prior Experience

There are twenty operating businesses that offer similar services to a Recycled Granite Business. The:following is a list of RGF's predecessors and affiliates, including principal addresses and number'of locations for each. Our affiliate, US Greenworks, LLC (USG) owned by Julie Rizzo is an Indiana limited liability company that'was formed on October 22, 20,08. USG .shares the samephysical address,as us and operates two, company-owned businesses owned by USG:: Recycled Granite located at 1952 US Highway 4;1, Schererville, Indiana 46375 which began operations October 22, 20.08v and Recycled' Granite Outlet ideated at 1952 US Highway 4l Schererville, IN 46375' which began operations October 10, 20T4 and is now partly owned by Sherrie Benkovich. Both locatidns are substantially similar to the Franchise Business being offered- for sale by us. USG previously .granted independent operators “Members” the right to sell products and offer services using our proprietary equipment under a. membership agreement “Membership Agreement”. USG has also- created a referral network program made Up of independent business owners “Referral Network Partners” that offer similar products and services to us but are in no way affiliated with us. As of April 20, 2016, there were nine Referral Network Partners' and USG has discontinued the referral network program., USG will be providing all franchisees with equipment and display towers as an approved vendor. USG and RGF are independent entities, and USG does not-assume any of our legal or other obligations nor theirs. USG does not and has not previously offered franchises in this or any Other line, of business. Prior to Recycled Granite's ability to sell franchises, there were eight Members .given the right to sell products'and offer services using pur proprietary equipment under Membership Agreements between Members and our affiliate US Greenworks, LLC, (“USG”) as identified in Item 1. Members will be offered the opportunity to terminate his or her Membership Agreement and become a Recycled Granite™ franchisee. Five members elected to enter franchise, agfeements. These now-franchlsees are classified as franchisees on the listing, for 2016 and their addresses and telephone information is listed in Exhibit G.

Business Offered

The Recycled Granite business' model has been developed as; an environmentalJy-friendly solution to reduce granite and stone waste by recycling the material to create various products that can be used either for construction and remodeling projects or for consumer products. This business repurposes granite! and stone waste; by turning such material into useful products tO be sold and ,can be started as; an; addition to an existing retail business location or started out of a small industrial space, warehouse space or free standing structure with a small :showrooin (all of which must be approved by us). Franchises, will be offered to qualified, individuals who yvill be given an option to operate either a Stone & Pallet by Recycled Granite retail concept that involves a stand-alone location retail selling ecorfriendly products made from Recycled Granite and reclaimed materials that also hosts parties, and events as. seen at www.StoneandPallet.com (“Model A”), a similar retail concept with an added focus on hght manufacturing products including.Eight CommerciarSuper 7 rnachines (“Model B”)', or a retail .concept with an added focus on hardseape manufacturing products such as pavers and fire pits including Hardscape Industrial Top 10 machines (“Model G”). Some larger Model C locations; may also sell, products to smaller Model A retail stores within their region., Each Recycled Granite franchise will produce a wide variety of constructipn-related products to sell using our proprietary equipment (such as: paverSj tiles, split stone veneers, etc.:) in addition to consumer products (such as? jewelry, wine stoppers; whisky rocks, murals, decorative elements; etc.) and Will offer: our proprietary blend packages, services to pick-up granite and stone remnants, consultation services and delivery services in addition to other granite and stone re-purposing: products and services approved by us. We may authorize the saleiof additional products and services to be offered by yOu in the future such as: recycled granite .countertops, pervious landscaping, pavers, wet east pavers, stamped paver services, installation services,, stone restoration and repair services and other home irnprovement-related services and/or granite and stone- related products approved by Us. Unless it is necessary for us to. distinguish in this Disclosure Document between Models A, B, and C, references to the Franchise, Franchised Business. or Business include either model and references to your “Location” cover any and all Model locations you operate

Initial Fees

The Initial Franchise Fee for a.single Franchise (the “Initial Franchise Fee”) Is $25,000 for either a Recycled, Granite Model A, B, or C in a protected area. The protected area of a .Franchise is determined once a location from vyhere you want to operate your Business is identified and approved by us. The Initial Franchise Fee is payment, in part, for expenses incurred by us in furnishing assistance and services to you as set forth in the Franchise Agreement and fpr costs Incurred by us. Including: general sales and marketing expenses, training, legal, accounting and other professional fees. The Franchise Fee alsolincludes the development of a custom local affiliate web, page for your Franchise housed within our national website,, a web server for ;your Web page and' will include access to franchise portals online for ongoing news bulletins and templates for print and advertising, materials to support your business; a copy of our proprietary Operations Manual, a startup kit that includes products, packaging and marketing materials, our three day training program at corporate headquarters and one day of assistance and guidance at youf location for either pre-opening or grand opening assistance, You must purchase specific equipment, products and supplies from us, our affiliates or Our approved vendors and/or suppliers and the cost for these may not be, refundable (as described In Item 7 and Item 8). You will be provided with a list of approved vendors .and suppliers for all equipment, products and. supplies necessary to operate your Business during the initial training program. At; the time you sign your Franchise Agreement or at any tirne you are in.good standing under your Franchise, Agreement, you may purchase a.second franchise (and any additional franchises thereafter) for $15,000 each if we offer additional franchises to you. The Initial Franchise Fee, is paid In a lump sum at the time the Franchise .Agreement is .signed ;and is deemed fully earned and nonrefundable upon payment per the terms of the Franchise Agreement. We have elected to defer the collection of the-Initial Franchise Fee for each franchise to be located in Indiana until we have satisfied all of our pre-opening obligations to each franchisee.

Financing

We do not offer direct or indirect financing. We do not guarantee your note, lease or obligation. We may assist franchisees, in obtaining financing in the future and We may decide to finance certain equipment packages or make other financing arrangements available to you. If we do, you will be free to accept or reject such financing

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there; is a reasonable basts for the information, and if the; :infbrmation is included in the disclosure document, Financial performance information that differs from that included in Item may be given only if: (I) a franchisor provides the actual records of an existing outlet you are, considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example; by providing information about possible performance at a particular location or under particular circumstances. We do not make any repfeseritations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also: do not authorize biir employees Or rcpresentafiyes to make any such representatioris either orally or in writing.
