Business Description

Growth Coach is an Ohio corporation that was incorporated on December 3, 2002. Our principal business address is 10700 Montgomery Road, Suite 210, Cincinnati, Ohio, 45242. We do business under the names G.C. FRANCHISING SYSTEMS, INC. and THE GROWTH COACH. Our agents for service of process are listed in Exhibit A. We do not have any parents or predecessors.

Prior Experience

The following companies are affiliates of ours: 1. F.C. Franchising Systems, Inc. (“Fresh Coat”) offers franchises to operate painting businesses under the trade name FRESH COAT. Fresh Coat has offered franchises of this type since January 2005. Fresh Coat franchises offer painting and wallpapering services to the general public through direct mail advertising and through referral sources. As of December 31, 2018, Fresh Coat had 132 franchises. Fresh Coat does not offer franchises in any other line of business. Fresh Coat's principal business address is 10700 Montgomery Road, Suite 210, Cincinnati, Ohio, 45242 2. C.T. Franchising Systems, Inc. (“Caring Transitions”) offers franchises in the business of senior moving management, organizing, and conducting sales of estate assets under the trade name CARING TRANSITIONS®. Caring Transitions has offered franchises of this type since July 2006. As of December 31, 2018, Caring Transitions had 188 franchises. Caring Transitions does not offer franchises in any other line of business. Caring Transitions' principal business address is 10700 Montgomery Road, Suite 210, Cincinnati, Ohio 45242. 3. T.B. Franchising Systems, Inc. (“TruBlue”) offers franchises to operate a residential maintenance and repair business under the trade name TRUBLUE. TruBlue has offered franchises of this type since June 2011. TruBlue franchises offer residential maintenance and repair services to the general public through direct mail advertising and through referral sources. As of December 31, 2018, TruBlue had 28 franchises. TruBlue does not offer franchises in any other line of business. TruBlue's principal business address is 10700 Montgomery Road, Suite 210, Cincinnati, Ohio 45242. 4. Pet Wants Franchise System, LLC (“Pet Wants”) offers franchises to operate a business that sells pet food and supplies at a retail location and/or by home delivery services under the trade name PET WANTS®. Pet Wants has offered franchises of this type since April 2015. Pet Wants franchisees offer products to dog and cat owners through advertising in various media and through referral sources. As of December 31, 2018, Pet Wants had 84 franchises. Pet Wants does not offer franchises in any other line of business. Pet Want's principal business address is 10700 Montgomery Road, Suite 210, Cincinnati, Ohio 45242.

Business Offered

Growth Coach offers franchises to operate a business under the name THE GROWTH COACH to conduct business and sales coaching, executive coaching, management and personal development workshops, seminars, and individual coaching, consulting, and mentoring for business owners, managers and executives, and self-employed professionals. You will coach your clients to develop or enhance effective business and sales habits, management and organizational skills, business strategies, action plans, and sales techniques. You may also provide project management assistance to selected clients. You will market your services through personal solicitation of referral sources such as bankers, attorneys, accountants, consulting firms, and other business professionals, and through networking, public speaking, newsletters, strategic alliances, publicity, and direct letter and e-mail campaigns. You will compete with other business and sales coaching services in the same geographic area, including those that may be franchised by other national franchise companies. We will train you to operate the franchised business. As a Growth Coach franchisee, you will be subject to numerous federal, state, and local laws and regulations that apply to businesses in general, and may be subject to laws and regulations that apply to business coaching or consulting services in particular. You will be responsible for investigating and complying with any laws or regulations that may apply to business coaching or consulting businesses in your territory. You will also be responsible for complying with employment, workers' compensation, insurance, corporate, tax, and similar laws and regulations, as well as any federal, state, or local laws of a more general nature that may affect the operation of your franchised business. You should thoroughly investigate all of these laws before purchasing a Growth Coach franchise. Growth Coach was formed solely for the purpose of selling and supporting business and sales coaching franchises. We have offered franchises of this type since December 2002. We have never operated any franchises. We have never offered franchises in any other business or engaged in other business activities.

Initial Fees

We do not offer direct or indirect financing. We do not guarantee your note, lease, or obligation.

Financing

The FTC's Franchise Rule permits a franchisor to disclose information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about performance at a particular location or under particular circumstances. We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet.
