Business Description

We are a Maryland limited liability company formed on November 13,, 2013, We do business only under our corporate name and maintain our principal business address at 800D Abruzzi Drive, Chester, MD 21'6,19, Our agents for' service of process^ which vary by state, are identified in Exhibit H to this Disclosure Document. We. offer and Sell franchises: for the Operation of Taste Buds Kitchens, (the “Kitchen” or the “Franchised Business”). We began offering these franchises in November 2013. We have never engaged in any other business activity or offered franchises in any other line of business. We have never operated a Kitchen, however, if we defemiine that the operation Of your business is in jeopardy, or if a default occurs, then in Order to prevent an interruption in operation of the Kitchen, we may operate your business for as long as we deem necessary and practical. We shall keep in a separate account all monies generated by the operation of your Kitchen, less the expenses including reasonable compensation and expenses for our representatives and our reasonable attorneys' fees and costs incurred.

Prior Experience

We have no parent or predecessor company. Our affiliated company. Taste Buds Kitchen, LEG is, a New York limited liability company that operates a business of the; type now beingTranchised at 109 West 27th Street, 10th Floor, New York, NY 10001. Taste Buds Kitchen, LEG originally operated as Gupcake Kids! EEC beginning in Sepfeniber 2007; Gupcake Kids! EEC changed its “doing business as (d/b/a)” name to T^te Buds Kitchen in 2010 and changed the company name to Taste Buds Kitchen EEC on September 6, 2013. Taste Buds Kitchen EEC also owned and operated a “Kids C.pokirtg Kiosk” at FAO Schwarz in New York, NY from August 13, 2012 to,July l5t 2015; Neither Gupcake Kids! EEC nor Taste Buds Kitchen EEC has ever offered franchises in this or any other line of business and neither is an approved supplier of any product or service you must purchase or lease. Taste Buds Kitchen EEC owns the Proprietary Marks which it has licensed to uS so that we may sublicense these marks to our franchisees.

Business Offered

We offer the right to establish and operate a Taste Buds Kitchen under the terms of a single unit franchise agreement within a specific Territory (the “Franchise Agreement”), The franchise offered is for the operation Of a culinary entertainment and educational experience using proprietary methods, techniques, trade dress, trademarks and logos owned by us or our affilaifes. Our Kitchens offer a Clean and Safe environment for both children and parents to experience the wonder Of the kitchen where families can learn, laugh and cook., Qur kids: offerings are geared towards,ages, two to teen and our adult offerings are for everyone. Events include cooking birthday parties; children & adult classes, private events and onsite or off-site corporate events. We also offer an approved line of children's cooking merchandise including apparel, baking kits and utensils. Our fianchisees operate under the trade name and mark “Taste Buds Kitchen'' and the additional principal service marks, trademarks, trade names, .logos; emblems and indicia of origin identified in Item 13. These principal marks and all other marks which may be designated by us in the future for use: with the System (defined below) are referred to. in this Disclosure Document as the “Marks” or “Proprietary Marks.” The Kitchens are operated under the Marks and under a comprehensive, and unique system (the “System”) in accordance with the terms of the Franchise Agreement. The System includes'distinctiye signage, interior and exterior design, decor and color scheme; uniform standards, specifications, and procedures for operations; quality and uniformity Of products, and services offered; inventory, management and financial control procedures; training and assistance; and advertising and promotipnal programs; all of which we may change, improve, and further develop, in Our discretion.

Initial Fees

You must pay us an initial franchise fee of $45,0O0 for the right to establish ,a single Taste Buds Kitchen under a Franchise Agreement. You must pay the: initial franchise fee in full when you sell the Franchise Agreement. This fee is used in part for working capital and in part for profit. The initial franchise, fee is imposed uniformly on all franchisees and is not refundable under any circumstances. Currently,, we pay a referral fee in the amount of $1,000 to existing ffanchiSees, employees working at any Taste Buds Kitchen, and vendors who provide us with prospective franchisee leads that result in the signing of a Franchise Agreement. This referral program is adrhihistered in our sole discretion and may be changed or discontinued by us at any time. The amount of the referral fee is also subject to change at any time. Those who are .eligible to participate in this referral program and who refer prospective franchisees are not acting, as our agent and dp: not speak for us,, despite the receipt of a referral fee. We dp not control what these individuals say, and we cannot guarantee the: accuracy of any statement rnade by them you you or any other prospecti ve franchisee.

Financing

We do not offer either direct or indirect financing. We dp npt guarantee your notes lease or other obligation.

Franchisee Revenue and Profit

The FTC's franchise Rule permits ,a franchisor to provide information about the actual or potentiail financial performance of its franchised and/or any franchisor-owned outlets,. if there is: a reasonable basis for the inforrnation, and If the information is included In this disclosure document. Financial performance information that differs from that included in.
