Prior Experience

We currendy own and operate one Redline® training center location in Scottsdale, Arizona This location does not pay royalty or ad fund fees Our former affiliate, Redline Athletics, Inc, granted five (5) licenses m the State of Califorma the nght to use the “Redline Athletics®” name One (1) of the licensees has smce become a franchise Our former affiliate also operates a facility under die Redline Athletics® Mark m San Juan Capistrano, California, although that facility is not a franchise We do not have any direct contractual relationships with the four (4) remaining licensees

Business Offered

Redline Training Centers offer specialized programs to develop core stability, speed improvement, runmng form and agility, and strength baimng Each Redlme Business's trainers will also provide skills instrucbon for various sports, mcludmg baseball, softball, football, baskediall, and more At this bme, no products are being sold by Redline Businesses The products and services we designate for offer and sale at Redline Training Centers include our propnetary, designated, or approved sports trammg products and programs, and other products and sovices we may designate or approve from time to bme (“Products and Services”) The Products and Services form part of our propnetary program which we call the “Redline Program” or “Our Program” You must operate your Redline Business in accordance with the standards and procedures designated by the Company, and according to the Company's Operations Manual for Redlme Busmesses, or other notices we send you from bme to tune (“the Operations Manual”) Redline Training Center franchisees are authorized to also offer adult classes, boot camps, school fundraising events, and other Redlme Xpress branded classes, seminars, and events inside or outside the Redline Training Center Provided that a Redline Training Center satisfies its development obhgations with respect to adult classes, boot camps, school fimdraismg events (the "Redlme Xpress Services"), and other Redlme Xpress branded classes, seminars, and events m the Protected Territory, we will not offer anyone the right to offer Redline Xpress Services in the Protected Temtory Redlme Xpress franchisees offer adult classes, boot camps, school fundraising events, and otho* Redlme ^ress branded classes, senunars, and events outside the Redlme Trammg Center Redlme Xpress offenngs are part of a standard Redlme Traimng Center franchise agreement provided that the franchisee meets agreed upon pr^ction and development obligations We may offer Redlme Xpress specific franchise agreements if the Redlme Trammg Center franchisee is not sabsfymg the agreed upon development and producbon obligahons We may also offer Redlme Xpress franchises m geographic areas where there are no ^dlme Trammg Centers Redlme Xpress franchisees will sign a traditional Redlme Trammg Center franchise agreement and a Redlme Xpress addenduriL

Initial Fees

You must pay to us an inital fee ("InitiaI Franchise Fee”) upon signing your Franchise Agreement The Initial Franchise Fee is fully earned and non-refundable in all or in part in consideration of administrative and otho- expenses incurred by us m entenng into Franchise Agreement and for our lost or deferred opportumty to enter mto Franchise Agreement with others There is no financing available from us for the payment of the Imbal Franchise Fee The amount of the Imbal Franchise Fee will depending upon the type of Franctus^ Business that you purchase The Imbal Franchise Fee for a tradibonal RedIine Training Center is $39,000 You will pay us an Initial Franchise Fee of $1,995 for each RedIine Xpress "micro-business" that you obtain from us in connection with your Redline Xpress business

Financing

We do not offer any financing for the initial investment associated with your Redline Training Center We are unable to estunate whether you will be able to obtam financing for any of this investment and, if you are able to 2019 Redline Athletics FDD (Unit) obtain financing, we cannot predict the terms of the financing We have relationships with third-parties who offer financing We do not receive payment fiom any person for obtaining or placing financing We do not guarantee that you will qualify or obtain financing from such parties We do not guarantee your obligations to third parties

Franchisee Revenue and Profit

The FTC's Franchise Rule perimts a franchisor to provide information about the actual or potential financial performance of its frachised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the Disclosure Document Financial performance information that differs from that included in Item 19 may be given only if (1) a franchisor provides the actual records of an existing outlet you are considering buymg; or (2) a franchisor supplements die information provided m this Item 19, for example by providmg information about possible performance at a particular location or under particular circumstances
