Our parent is Barry Van Over's Premier Martial Arts, LLC (“Premier's Parent”), a Tennessee Limited Liability Company formed on July 19, 2006, which owns 100% of us Premier's Parent is owned by Barry Van Over See Item 2 Premier's Parent's address is 9202 S Northshore Dr, Knoxville, TN 37922 and phone number is 865-312-9970 Our Predecessor and Affiliate is Premier Martial Arts International, Inc (“PMAI”), a Tennessee corporation formed June 27, 2007 Its address and phone number are 902 S Northshore Drive, Knoxville, TN 37922, (865) 312-9970 PMAI helped originate our Premier Martial Arts® brand and System PMAI IS a Tennessee corporation formed on June 27, 2007 PMAI's founder, Barry Van Over, through PMAI and other entities they or PMAI owned or controlled began operating early forms of “Premier Martial Arts® Schools” (“Licensed PMA Schools”) over 14 years ago and beginning in November of2004, PMAI offered licenses to third parties to operate Licensed PMA Schools PMAI has assigned its intellectual property rights to Premier Parent to enable us to offer and sell franchises, and provide licensed services to the Licensed PMA Schools PMAI also operates www martialartsmarketing com, and offers martial arts studio operations and marketing consulting services to us, our affiliates, our franchises, and Licensed PMA Schools \ Another affiliate of ours is Studio Pro Enterprises, LLC, (“SPEL”) a Tennessee limited liability company, formed September 9,2013 SPEL licenses Studio Pro software to us, our affiliates, PMA Studios and Licensed PMA Schools SPEL's address and phone number is 902 S Northshore Drive, Knoxville, TN 37922, (865) 312-9970 SPEL is owned by Barry Van Over Another affiliate of ours is Premier Kidz Foundation, Inc (“Premier Kidz”), which is a not-for- profit corporation formed March 17, 2010 by Barry Van Over Premier Kidz serves as a not-for-profit entity to work alongside Licensed PMA Schools and PMA Studios to engage in charitable activities Premier Kidz' address and phone number are 902 S Northshore Drive, Knoxville, TN 37922, (865) 312- 9970 Mr Van Over, through entities he owns or controls also is an owner of four “company owned” PMA Studios Other than PMAI, SPEL, and Premier Kidz, we do not have any affiliates which offer or sell goods or services to our franchisees Our predecessor has informed us that it has not treated PMA School licensees as franchises We are taking the position as our predecessor unless they are determined to be franchises We cannot exclude that they were franchises If so, our predecessor, PMAl or Mr Van Over, offered franchises for them Except as described above, our parent, predecessor and affiliates have not offered franchises in this or any other lines of business Under our Conversion Program, we are offering Licensed PMA Schools the opportunity to convert to be franchised PMA Studios

Business Offered

Through the expenditure of considerable time and effort, our predecessor, Mr Van Over, and we have developed a distinctive system for the development and operation of “PMA Studios” PMA Studios are martial arts, self-defense Martial Arts and character building facilities, designed to provide an affordable investment and a rewarding ownership experience, as well as world class mixed martial arts, self-defense. Martial Arts and character building products and services PMA Studios offer the Products and Services we authorize and approve and utilizing the Marks, Copyrights and System Unlike our predecessor's (PMAl's) Premier Martial Arts Schools (the Licensed PMA Schools), which ranged up to 10,000 sq feet, the PMA Studios are designed to require only 1,200 to 1,600 sq feet and have a more defined and consistent product and service offering and branding PMA Studios memberships are offered to primarily those seeking Martial Arts, self-defense, mixed martial arts and character building across a broad range of ages but focus on those between the ages of 5 and 12 Our mission is for the PMA Studios provide a welcoming and rewarding group, personal, semi-private, private and personal training, mixed martial arts. Martial Arts and social experience As of December 31, 2018, there were a total of 9 Licensed PMA Schools in the United States operated by third parties, 14 Licensed PMA Schools operating outside of the United States operated by third parties, and 0 Licensed PMA Schools operating in the United States that are owned by our affiliates Our affiliate also acquired another Licensed PMA School m early 2018 and has converted it to a PMA Studio format Of the 5 Licensed PMA Schools owned by our affiliate during 2018, all of them are or have converted to our “PMA Studios” concept PMAI no longer offers the Licensed PMA School concept We now only offer the PMA Studio concept as a franchise option As of April 11, 2019, there were 60 open franchised PMA Studios and 9 open Licensed PMA Schools Our affiliates own 5 company owned PMA Studios References in this Disclosure Document to the PMA Studio offered to you means a PMA Studio and not a Licensed PMA School Each PMA Studio also offers limited retail space for sale of equipment, accessories and certain drink and nutritional supplements And, in keeping with our philosophy of adapting to meet the wants and needs of our members, we may allow some to offer limited ancillary services But, any ^ancillary services or the like must be approved by us PMA Studios use our System Copyrights and Marks, and must only offer, sell products, services and accessones we designate or approve (the “Products and Services”) Each PMA Studio operates only from a specified location that we designate (the “Site”) To offer the Products and Services, PMA Studios operate using distinctive business formats, methods, workouts, lessons, training regimens, procedures, designs, layouts, signs, product and service offerings, standards, specifications, and System Standards, all of which we may improve, further develop or otherwise modify from time-to-time (the “System”) Our Manuals and other publications of our System Standards will define^in more detail our System Standards, which will include, among others, the layout of the PMA Studios, number of personnel needed, types of Products or Services offered, amount of inventoiy carried and the like To maintain and promote our brand and our company mission, we use, promote and license certain trademarks, service marks arid other commercial symbols to identify our franchise system, the Products and Services and in the operation of PMA Studios, including the trade and service marks “Premier Martial Arts®” (word and design), and other associated logos, designs, symbols and trade dress, which have gained and continue to gain public acceptance and goodwill, and we may create, use and license additional trademarks, service marks and commercial symbols in conjunction with the operation of PMA Studios (collectively, the “Marks”) We also use, promote and license in the operation of PMA Studios certain information capable of being rendered into tangible form that we claim as our Copyrights, including spreadsheets, forms, marketing materials, labels, manuals, pricing lists, vendor lists, menus, advertisements, our website, and any other written materials, marketing matenals, advertisements or slogans (including the look, compilation, feel and content of them) (collectively, the “Copyrights”) The existing Licensed PMA Schools also use vanous aspects of the Marks, Copyrights and System To be eligible to be granted a PMA Studio franchise, you must meet our qualifications, demonstrate that you meet our brand values of community involvement, and empowering our members' through Martial Arts, and be willing to undertake the investment and effort to embrace our brand values If we agree to grant to you a franchise, you must sign and deliver to us our form of “Franchise Agreement” attached as Exhibit “C” to this Franchise Disclosure Document If you are a corporation, partnership or other entity, each of your owners (and spouses) must sign our "Principal Owners Guaranty" (“POG”), guaranteeing your performance and binding themselves individually to provisions of the Franchise Agreement A copy of our Principal Owners Guaranty is attached as Exhibit “H” Also, if you are a sole proprietorship and your mantal assets are used to qualify for our financial requirements, your spouse must sign the POG And, if you are a trust, we may require the trustee and beneficianes of the trust to sign the POG

Your initial franchise fees are those monies that must be paid to us or our affiliates before you commence operations of your PMA Studio Yourinitial franchise fees for an individual PMA Studio is the “Franchise Fee

We do not offer direct or indirect financing We do not guarantee your notes, leases or obligations

Franchisee Revenue and Profit
