As a franchise entity granting franchises, we have not directly operated a Brilliant Minds leammg business Our affiliate. Brilliant Minds Academy, Inc , has owned and operated a Brilliant Minds business since October 2011 in Dublin, CA Neither we nor our affiliate have ever offered franchises before in this or any other lines of business

Business Offered

We grant franchises (referred to in this Document as a "Brilliant Minds franchise") for the right to independently establish and operate an after-school learning center using the Brilliant Minds mark and method of learning Before the effective date of this FDD, we have not granted franchises in this or any other lines of business We are engaged in no other business A franchise for the operation of a Brilliant Minds franchise within a defined territory is granted under the terms of our standard form Franchise Agreement found following Item 23 of this Franchise Disclosure Document

Initial Fees

You willl pay a franchise fee of $25,000 in full when we complete our initial obligations set forth in Item II, “Pre-opening assistance and services,” numbers I - 5 Franchise Fee Refundability We agree to train you and up to one other persons you appoint If you (or your designees) are unable to complete each segment of the training program to our satisfaction, as determined by objective and subjective criteria, we may terminate the franchise agreement The franchise fee is non-refundable

Financing

We do not offer, direct or indirect financing arrangements We do not guarantee notes, leases or any other obligations you may incur We do not receive any payments for placing or referring Franchisees to lending sources for financing

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential* financial performance of its franchised and/or franchisor-owned outlets, if there IS a reasonable basis for the information and if the information is included in the disclosure document Financial performance information that differs from that included m Item 19 may be given only if (1) a franchisor provides the actual records of an existing outlet you are considering buying or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets We also do not authorize our employees or representatives to make any such representations either orally or in writing If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet If you receive any other financial performance mformation or projections of your future income, you should report it to the franchisor's management by contacting Praveen Gupta at pgupta2280@,gmail com , the Federal Trade Commission, and appropnate state regulatory agencies
