A MUSCLE MAKER GRILL Restaurant offers quality food, freshly prepared with our propnetary recipes, designed to please our guests, busmess neighbors and families The menu, created with the guest's health in mmd, as it is protem-based, will feature chicken, seafood, pasta, burgers, wraps, entree salads, smoothies, and yogurt, in a variety of assorted flavors We offer a wide selection of protein supplements and protein snacks, and, where approved by us, breakfast and a nutntious children's menu Our TVs contnbute sports and news entertamment within our casual, social environment The System, as it relates to Restaurant franchises, includes a license to use the Marks and methods and procedures for the preparation and serving of both food and beverage items mcludmg, confidential recipes for food products and distinctive service accessones MUSCLE MAKER GRILL Restaurants feature distinctive, standardized premises and a charactenstic extenor style, color and design, intenor and exterior features, furnishings, equipment and signage which, when coupled with a umform operational method, provide for a healthier during expenence You will also offer catermg and delivery services within a specified geographic area.

Prior Experience

We began offering franchises for MUSCLE MAKER GRILL Restaurants similar to the franchise bemg offering in this Disclosure Document in January 2008 We began offering franchises for area representative businesses in the second half of 2009 We do not operate any Restaurants, although we may do so in the future A subsidiary of ours has owned and operated a Restaurant smce September 2010 Our predecessor and affiliate MMNC operated a MUSCLE MAKER GRILL Restaurant in Colonia, New Jersey, from December 1995 until September 2010 We have no other business activities and have not offered franchises in other Iines of business MMNC has not offered franchises in any line of business.

Initial Fees

You will pay an initial franchise fee of $35,000 in a lump sum when you sign the Franchise Agreement If you enter mto a Multi-Unit Agreement to develop more than one Restaurant according to an agreed upon schedule, the Development Fee (discussed below) that you paid for a particular Restaurant will be credited against the initial franchise fee payable at the time you sign the Franchise Agreement for the particular Restaurant, and the balance, if any, will be due at the same tune Imtial franchise fees are fully earned by us when paid and are not refundable under any circumstances except as provided below If you do not find a suitable location for your Restaurant that we approve within 90 days of the signing of the Franchise Agreement and then secure an acceptable site by purchase or lease within 180 days of the signing of the Franchise Agreement, we can either extend the time for you to secure a location or elect to terminate the Franchise Agreement your initial franchise fee, less $20,000, if you sign our form of release of claims If we do not elect to terminate, you must comply with the development obligations in the Franchise Agreement and we will not refund any amount even if we termmate for failure to open your Restaurant withm the time required The Transfer and Release Agreement attached as Exhibit H to this disclosure document contains a sample form of general release language that would be acceptable to us m connection with a terrmnation of the Franchise Agreement, your entermg mto a subsequent term or transfer of the franchise, or other event when we require you to deliver a general release to us.

Financing

We do not offer direct or indirect financing to you We do not guarantee your note, lease or obligation.

Franchisee Revenue and Profit

Other than the preceding financial performance representation, Muscle Maker Franchismg, LLC does not make any financial performance representations We also do not authonze our employees or representatives to make any such representations either orally or m wntmg If you are purchasmg an existmg outlet, however, we may provide you with the actual records of that outlet If you receive any other fmancial performance information or projections of your future income, you should report it to the franchisor's management by contactmg Rod Silva, Muscle Maker Franchismg, LLC, 15 Prospect Lane - Suite 2AB, Coloma, New Jersey 07067, 732-261-8500, the Federal Trade Commission, and the appropnate state regulatory agencies.
