Business Description

We are a Florida corporation formed on August 16, 2004. Our predecessor company was Precision Door Service, Inc. ('PDS'), which was founded as a garage door repair service business in May 1997 as an informal partnership operating under the trade name Garage Door Services (the 'GDS Partnership'). They incorporated in Arizona as Precision Door Service, Inc. on May 21, 1999. On June 13, 2003, PDS changed its domicile from Arizona to Florida. We do not have any affiliates or parents. We do business under our corporate name and the name Precision Door Service. Our principal place of business is 2395 S. Washington Avenue, Suite 5, Titusville, Florida 32780. On December 21, 2004, we entered into an Agreement and Plan of Merger with PDS. Under the agreement, which was effective February 2005, we are the surviving company and succeeded to all the properties, assets, debts, liabilities and duties of PDS. Our agents for service of process are disclosed in Exhibit A of this Disclosure Document.

Prior Experience

As a Precision Door franchisee, you will operate a residential-only garage door repair service business and may also sell and install new garage doors. You will provide these services to residential homeowners within a territory defined by county as we determine. The repair, installation, maintenance and service of commercial garage doors, roll-up doors, commercial operators, access gates, entrance gates and their operators are not a part of the system and therefore prohibited under the Precision Door Service franchise system.. Depending on special circumstances, you may provide services outside your territory upon meeting certain requirements. A copy of the Franchise Agreement is included in this Disclosure Document as Exhibit C.

Business Offered

We franchise businesses under the name 'Precision Door Service' and have done so since February 2005. We are not involved in any other business activities and have not offered franchises in any other line of business. We only operate garage door repair service businesses on a temporary basis where we have placed advertising and there is no franchisee to operate the business at the time the advertising is placed. In addition, because advertising placement may last a year, we may operate the business as a result of an abandonment by a franchisee or a termination until a new franchisee is identified and a Franchise Agreement is signed. Through the merger, we assumed the franchise agreements held by existing franchisees. PDS offered franchises from September 1999 through February 2005. PDS also offered area development agreements between June 1999 and December 1999. All area developers have converted to franchises or have left the Precision Door system. PDS did not offer franchises or operate businesses in any other line of business.

We do not offer direct or indirect financing. We do not guarantee any loan, lease or other obligation you may incur. We do not receive any direct or indirect payments from third parties for any financing you may receive. No contract or other instrument between us contains any waiver of defenses 22 Precision 2019 FDD or similar provisions. We do not have any past or present practice, or any intent, to sell, assign, or discount to a third party, in whole or in part, any note, contract, or other instrument executed by you. You are free to obtain financing from any lender. We do not make referrals to any particular U.S. Small Business Administration loan guaranty program. Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the Disclosure Document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances. The following information is based on reports submitted to us by our franchisees for the year ended December 31, 2018. This information was collected from 88 franchise locations which comprise all of the franchise locations that were in operation for the entire 2018 year. Median Gross Sales $2,163,096.08 Average Gross Sales $2,784,828.72 Gross Sales do not include sales tax, refunds and returns, but do include discounts and allowances. Notes: 1. Some outlets have sold this amount. Your individual results may differ. There is no assurance that you will sell as much. 2. The range of sales for 2018 was a low of $215,669.24 and a high of $19,602,147.00. Total sales amounts are affected by various factors to include competition, the size and age of market, market demographics, area of the country, economic conditions and management capability. You should conduct your own research to assist you in preparing projections for your own Franchised Business. 3. Of the 88 franchise locations in operation for at least one year, 31 (35.22%) exceeded the average gross sales. 4. Advertising costs for the 74 franchise locations in operation for at least one year which provided 2018 financial statements, the median was 12.79% of gross sales, the average was 12.86% of gross sales. 5. With respect to the cost of goods sold, for the 74 franchise locations in operation for at least one year which provided 2018 financial statements the median was 28.26% of gross sales and the average was 29.06% of gross sales. 6. Labor costs for the 74 franchise locations in operation for at least one year which provided 2018 financial statements, the median was 18.16% of gross sales and the average was 18.43% of gross sales. 7. There are no material differences or characteristics from the outlets used in this financial performance representation and a new franchised outlet. 8. Written substantiation for the financial performance representation will be made available to the prospective franchisee upon reasonable request. 36 Precision 2019 FDD 9. Many factors, including location of the business, management capabilities, local market conditions, competition and other factors, are unique to each business and may significantly impact the financial performance of the business.. 10. You are responsible for developing your own business plan for your business. We encourage you to consult with your own accounting, business, and legal advisors in doing so. In developing the business plan, you are cautioned to make necessary allowance for changes in financial results to income, expenses, or both, that may result from operation of your business in different geographic areas or new market areas, or during periods of, or in areas suffering from, economic downturns, inflation, unemployment, or other negative economic influences. Historical costs do not necessarily correspond to future costs because of factors such as inflation, changes in minimum wage laws, location, financing, real estate-related costs and other variables. All information should be evaluated in light of current market conditions, including such cost and price information as may then be available. Prospective franchisees must bear in mind that a newly opened business cannot be expected to achieve sales volumes or maintain expenses similar to those of an established business. Other than the preceding financial performance representation, we do not make any financial performance representations. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet.
