Our name is Toby's - Latin Grill Franchises, LLG. Our principal business address is 1600 North Broadway Suite 650, Santa Ana CA 92706. We do not have any parent entities. We do not have any affiliates that offer franchises in any line of business or provide products or services to our franchisees.

Prior Experience

We have offered franchises since the March 2019., None of our affiliates has offered frahchises in other lines of business. None of our affiliates provides products or services to oUT franchisees. Our affiliate, R&S Restaurant Group,, Inc. holds oiu intellectual property and trademarks. This entity was incorporated on 1/18/2018 and is located at 1600 N. Broadway, Suite 650, Santa Ana, CA 92706. Our affiliate, Toby's - Latin Grill ofLa Puente 1, Inc. Will own the operating store in the: Grill of La Puente, which will serve as one of our training facilities as well. This entity was iheorpofated on 3/23/2018 and is located at 1600 N Broadway, Suite, 650, Santa Ana, CA 92706. Our affiliate, Toby's - Latin Grill of West Coviha 1, Inc. Will own the operating store in the City of West Covina, Will also serve as one of our training facilities for Toby's - Latin Grill and for Lil Toby's - Latin Cafe. This entity was incorporated on 3/23/2018 andis located at 1600 N Broadway, Suite 650, Santa Ana, CA 92706. Our affiliate, Mambi Restaurant Management, Inc. operates a similar business model under the Ay Papa Que Rico brand and was incorporated on 10/22/2012, and is located at 7344 tan Nuys Blvd, Suite 1, Van Nuys, CA 91405.

Business Offered

If you sign a franchise agreement with us, you will develop and operate a restaurant offering a fusion of authentic Cuban, Mexico and Latin American foods in a fun, casual atmosphere under the trade name Toby's - Latin Grill or Lil Toby's -Latin Cafe. If you sign a Multi-Unit Deyelopment Agreement (attached as Exhibit G to this disclosure document), you will develop multiple Toby's - Latin Grill outlets, on an agreed-upon schedule. For each future unit franchise, we will require you to sign our then-current form of franchise agreement, which may be different from the form of franchise agreement included in this disclosure document. The general market for Latin food fits the needs ofmany different types of people and demographics. This market is relatively new. Our customers are primarily families and young people, ages 18 to 65 years. Sailes are not seasonal. You will Compete against national chains, regional chains, and independent owner?. Some of these competitors are franchised.

Initial Fees

Franchise Fee When you sign your frenchise agreement, you must pay us $20,000, $35,000 or $45,000 as the initial franchise fee, depending on the model you choose. Thisfee depends on the size and structure ofthe Toby's franchise you choose to invest in. Other than this determining factor, this fee is uniform. All initial fees payable to the Franchisor or Affiliates are deferred until we have delivered all pre-opening obligations and franchisee is open for business. If(1) you fail to complete the initial training program to our satisfaction, or (2) we conclude, no more than 10 days after you complete the initial training program, that you do not have the ability to satisfactorily operate your franchise, then we hayedhe right to terminate your franchise agreement. If we do so, we will refund your franchise fee less any out-of-pocket costs we haye incurred, subject to your signing a general release ofour liability. Otherwise, the franchise fee is not refundable. Other Fees You must purchase inventory, supplies and apparel from us prior to opening the franchised business. The total investment.for this is $3,000 to $51000. These fees and investment arCi due 3-4 weeks prior to opening the franchised business. These other fees are non-refundable under any circumstances. Multi-Unit Development Ifyou and we agree that you Will develop multiple franchises, then you will sign our Multi-Unit Development Agreement (“MUDA”) in the form of Exhibit C to this disclosure document. Your franchise fees will be reduced to $ 15000, $20,000 or $30,000 for the second and additional franchises depending on Which,model ofthe Tbby's franchise you choose. You will pay all franchise fees upon siting the MUDA. These franchise fees are refundable only under the same circumstances as described above imder “Franchise Fee”.

Financing

We do not offer direct or indirect financing. We do not guarantee your note, lease or obligations.

Franchisee Revenue and Profit

We do not make any representations about a franchisee's. future financial performance or the past financial performance of company-owried or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in Writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet.
