Business Description

To simplify the language in this disclosure document, “NexGen Fitness,” “we” or “us” means NexGen Fitness Franchising Corporation, the franchisor. “You” means the business entity that buys the franchise, and includes each partner, shareholder, member, or another owner of that entity. NexGen Fitness Franchising Corporation is a Texas Corporation formed on February 7, 2019. Our principal office is located at 1721 Cross Timbers Dr, Prosper TX 75078. Our agents for service are listed in Exhibit H

Prior Experience

While, we have recruited and supported NexGen Fitness, we have never offered the franchises being offered in this disclosure document. We began offering NexGen Fitness area representative franchises and area development opportunities in March 18, 2019.

Business Offered

You will sign our then-current form of Area Representative Agreement for each NexGen Fitness Franchised Business to be opened under the Area Representative Agreement. As an Area Representative, you must have at least one unit NexGen Fitness Franchised Business in operation. Unit NexGen Fitness franchises are offered in a separate franchise disclosure document. We may continue to develop new products and services, but we are not obligated to do so. If we do develop new products or services, we may offer you the opportunity to provide such products but are not required to offer such opportunity, and if we do, we may require you to take additional training, pay additional fees, and sign additional agreements or other requirements. Our franchises use specialized business formats and systems, called the “System,” which we have the right to modify. Our franchises use certain service marks and other commercial symbols of ours called the “Marks.” You have no obligation, nor any right, to open any additional NexGen Fitness Franchised Business.

Initial Fees

You must pay an initial Area Representative fee of $100,000. The initial Area Representative fee is uniform for all franchises currently being offered. The initial franchise fee becomes part of our general funds with no limit on its use. You must pay the initial franchise fee in full when you sign the area representative agreement. The initial franchise fee is considered fully earned and nonrefundable upon payment. We reserve the option to discount initial fees, discontinue discount(s) offers at any time or offer new discounts in the future. The initial fees are not refundable under any circumstances. Except as explained above or as listed above, initial fees are uniformly calculated for all Franchised Businesses currently being offered.

Financing

We do not offer any other direct or indirect financing. We do not guarantee your note, lease or obligation.

Franchisee Revenue and Profit

We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet. If you receive any other financial performance information or projections of your future income, you should report it to the franchisor's management by contacting Bryan Whatley 1721 Cross Timbers Dr, Prosper TX 75078 844-4NEXGEN (844-463-9436), the Federal Trade Commission, and the appropriate state regulatory agencies.
