Business Description

We are a Nevada limited liability company formed on January 21, 2018 to franchise and administer businesses ("Restaurants" or “Restaurants”) using the mark ABOVE THE CRUST®. We do not do business under any other name and Our principal business address is 7810 W. Ann Rd. #140, Las Vegas, NV 89149; Tel: (702) 813-0811. Our agents for service of process are listed on Exhibit E.

Prior Experience

Neither We nor the Company conduct any business activities other than in connection with the Restaurants or have previously offered franchises in this or any other line of business. We have offered franchises for Restaurants since May 2018. The Restaurants will use the ABOVE THE CRUST trademark and other designated trademarks, trade names, service marks and logos (“Marks”)

Business Offered

We offer franchises for an Above the Crust Restaurant (“Restaurant”), a casual dining restaurant which serves delicious pizza and pasta, chicken wings and fingers appetizers, salads, side dishes and desserts. Restaurants are popular with families, young adults and singles as well as older adults and groups. We have developed a comfortable and attractive atmosphere for enjoyment of our food and beverages. The décor is bright and colorful, with unique wall decorations and comfortable seating. Each Restaurant prepares its pizza dough from scratch every day, rolling it out to make fresh, attractive handmade pizzas for our customer who hunger for the taste and nourishment. Customers can choose their favorite toppings and come watch their order being prepared. Take-out and delivery are also available. All Restaurants support their local community and its schools, churches and other groups. Hours are typically 11:00 a.m. through 10:00 p.m. with arrangements available for early drop-offs and late pick-ups. Each Restaurant will employ 8 to 16 persons, some full-time and others part-time. The square footage of each Restaurant will range from 1,200 to 2,100 square feet.

Initial Fees

The initial franchise fee for a franchise Restaurant is $30,000. We offer a veteran initiative program. Under this program, honorably discharged veterans of the United States armed forces are entitled to receive a $10,000 discount on the initial franchise fee for each new franchise Center. If We approve Your franchise application, You will sign a Preliminary Agreement (Exhibit A) and pay Us $10,000 as a deposit. When We sign the Preliminary Agreement, it becomes a commitment for one Restaurant franchise subject to its conditions such as successfully completing training and locating a suitable Restaurant site. The Franchise Agreement will be executed after site approval, and before opening Your Restaurant. Upon execution of the Franchise Agreement (Exhibit B), You will pay Us $23,000, which includes the $20,000 remaining balance of the initial franchise and the $3,000 Opening Assistance Fee. There are no refunds of any part of the deposit or the initial franchise fee, which must be paid in full before You open Your Restaurant. All fees payable to Us are intended to be “net” amounts and You will pay or reimburse Us for any sales, services, use or similar taxes which may be imposed upon any such fees.

Financing

We do not offer direct or indirect financing. We do not guarantee Your note, lease or other obligation. There are no waiver of defenses or similar provisions in any note, contract or other instrument executed by franchisees with Us. We are registered with the SBA Franchise Registry. This affiliation may assist You with obtaining expedited loan processing if You should seek SBA financing.

Franchisee Revenue and Profit

We do not furnish or authorize our franchise sellers to furnish any oral or written information concerning the actual or potential sales, costs, income or profits of an ABOVE THE CRUST Business. If You receive any other financial performance information or projections of Your future income, You should report it to the franchisor's management by contacting Phyllis Barkin at 7810 W.
