We are a Maryland limited liability company, originally organized as Priceless RentrA- Gar, LLC on March 29, 2Q04. In June 2018', Priceless Rent-ArCar, LLC was renamed, “NP Franchise Group, LLC.” Our principal business address is 11411 Rockyille Pike,, Rockville, MD 20852. Prior Experience

We.and our predecessors have offered vehicle rental businesses using the “Priceless” name and marks since 1996, and we also began offering franchises for vehicle rental businesses under the “NextCar” name in January 2015= As of the date of this disclosure document,, there were 22 open and operating Priceless franchised business locations in the United States; 3 open and operating NextCar franchised business locations in the United States; and 16 NextCar locations operated by our indirect parent. All Car Leasing, Inc.

Business Offered

This franchise offering is for the operation of a vehide rental business (“Vehicle Rental Business”) that offers vehicle rental, leasing, earsharing and other mobility services, rent-to- purchase, rent-to-own, lease to own, and used vehicle sales business (coHectively “Services”) identified by the Priceless Trademarks. Oiir franchised businesses are characterized by our system (“Priceless System” or “System”) that we have developed for the overall success of NP Franchise Group and our independent franchisees, Some of the features of the Priceless System are our distinctive design and plans for Vehicle Rental Businesses, as well as our Services, equipment and office layouts, signage, operating procedures, customer service, quality standards, management procedures, training assistance, and marketing programs. We may periodically change and improve parts of the System. In this Disclosure Document, “Franchised Business” or “Priceless Business” means a Vehicle Rental Business that is operated under a Franchise Agreement with us and that uses the Prieeless Trademarks and Priceless System. A copy of the current form of Franchise Agreement is attached as Exhibit A to this disclosure document.

Initial Fees

Financing

Our affiliate, KFL, LLC, may lease vehicles to Priceless franchisees who meet our rniiiimum credit, geographic, and business management qualifications. If KFL agrees to lease vehicles to you and KFL will sign a Master Lease Agreement and a Vehicle Lease Order and Vehicle Deliyery Receipt for the leased vehicles. A sample of the Master Lease Agreement, the Vehicle Lease Order, the Vehicle Delivery Receipt, and the monthly statement are attached as Exhibit G. All vehicles subject to the fleet leasing program will be titled and registered in the name of KFL, and you will be responsible for inspections^ maintenance, license, registration and title fees, parkmg and traffic citations,, and insurance costs. Leased vehicles may be used only in the day-to-day operation of your Priceless Businesswithin the United States or Canada. KFL does not have an obligation to continue leasing vehicles to you after the vehicles identified in the first Vehicle Lease Order that you submit have been delivered to you.

Franchisee Revenue and Profit

Other than the preceding financial performance representations, we do' riot make any representations.aboutia franchisee's future financial performance or the past financial performance of company-owned or franchised Outlets. We also do not authorize pur employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with actual records of that outlet.
