Business Description

We are a franchising company which promotes and sells franchises for the operation of Kolenda Strategic Leaders Academy businesses. We do not own or operate a business of the type being franchised, although we have an affiliate that does. We have not offered franchises in any other line of business, and we are not engaged in any business other than granting franchises for Kolenda Strategic Leaders Academy businesses. We have offered franchises since the date of this Disclosure Document (August 21, 2018). Our agent for service of process is Christopher D. Kolenda. His principal business address is 645 Constitution Avenue NE, Washington, DC 20002. If we have an agent for service of process in your state, we disclose that agent in Exhibit 1.

Prior Experience

We have no predecessors or parent. The original Kolenda Strategic Leaders Academy business, currently located in Washington, DC, emerged from our affiliate, Kolenda Strategic Leadership, LLC (a District of Columbia limited liability company), and began its operations in Virginia in 2014. Our affiliate originally operated under the name “Strategic Leaders Academy” until changing the name to “Kolenda Strategic Leaders Academy” in July 2018. Our affiliate is not offering, and has never offered, franchises in any line of business. We have no other affiliates required to be disclosed in this Disclosure Document.

Business Offered

We are offering franchises for businesses which provide business consultancy services, including consultancy in the areas of leadership, culture and strategy, through coaching, workshops, presentations and customized support, under the name “Kolenda Strategic Leaders Academy.” (each a “KSLA Business”). Each KSLA Business is established and operated using the format and system we developed (the “System”), and feature and operate under the Proprietary Marks (as described below). All products and services by KSLA Businesses are subject to our approval.

Initial Fees

When you sign the Franchise Agreement you must pay us an initial franchise fee of $25,000 (the “Franchise Fee”). The Franchise Fee will be fully earned when paid and non-reftmdable in consideration of administrative and other expenses we incur in entering into the Franchise Agreement and for our lost or deferred opportunities to enter into the Franchise Agreement with others.

Financing

Whether we will extend Financing, as well as the amount of financing that we choose to extend, will vary depending upon the availability of funds, your creditworthiness and the market conditions in your area. If we provide financing to you, you must submit monthly financial information to us, such as an income statement, balance sheet, and supporting documents, as we periodically specify and in the formats we specify.

Franchisee Revenue and Profit

Other than the preceding financial performance representation, we do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet. If you receive any other financial performance information or projections of your future income, you should report it to the franchisor's management by contacting Christopher D.
