We do not have any predecessors (3) We currently use the name Back A Yard to conduct business and do not have any current plans to use other names (4) Our agent for service of process in California is Robert Suripson who can be reached at the principal business address of3537 Kifer Road, Santa Clara, CA 95051 (5) We are a California registered Corporation (6) We (i) Do not operate a business ofthe type being franchised but our Affiliate does (ii) We are not involved m any other business activities (ill) You will operate a fast, casual Caribbean business that offers a company that provides a delicious Jamaican cuisine focused around jerk chicken (iv) The general market for the product or service that you will offer is typically many different types of people with a wide range of demographics (v) We are not aware of any laws or regulations specific to the industry in which the franchise business operates (vi) The competition within the industry in which the franchised business operates is competitive with other fast, casual business, however, very few specialize in Caribbean cuisine and recipes centered on jerk chicken (7) The Franchisor was formed for the purpose of franchising the business model offered by its Affiliate

We have offered franchises providing the type of business you will operate since January 1, 2016 (ill) neither our Affiliate nor we have offered franchises in any other line of business

Initial Fees

An initial lump sum franchise fee of $35,000 is due when Franchisee signs the Franchise Agreement Franchisor will refund 50% ofthe franchise fee Franchisee has paid for a particular franchise if (5 2) Franchisee fails to select a site within 6 months, (8 3) Franchisor terminates this agreement because Franchisor determines Franchisee is unable to satisfactorily complete the training program Franchisor does not give refunds under other circumstances

Financing

We do not offer direct or indirect financing arrangements

Franchisee Revenue and Profit

Franchisor does not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets Franchisor also does not authorize our employees or representatives to make any such representations either orally or in writing. If Franchisee is purchasing an existing outlet, however. Franchisor may provide Franchisee with actual records of that outlet If Franchisee receives any other financial performance information or projections of Franchisee's future income. Franchisee should report it to the franchisor's management by contacting Robert and Arietta Simpson, 3537 Kifer Road, Santa Clara, CA 95051, 408-736-7724, the Federal Trade Commission, and the appropriate state regulatory agencies.
