We formed a corporation in Utah on June 22, 2009 to offer Rod Works franchises. Our principal business address is 3381 W Mayflower Ave, Suite 275, Lehi, Utah 84043 We do business under our corporate name and the name Rod Works We have offered franchises since the effective date of this Disclosure Document.

Prior Experience

We do not have any parent companies or predecessors We have two affiliates Rod Works Inc was incorporated in Utah on Februaiy 24, 2003, and is located at 3381 W Mayflower Ave Suite 275, Lehi, Utah 84043 and has owned and operated 6 businesses of the type being franchised, in Utah and Califomia Iron Trade Imports DBA VIP International was incorporated in Utah on December 12, 2007 and IS located at 2590 Mercantile Dr Suite C, Rancho Cordova, CA 95742, and is a supplier for many of the products sold at Rod Works Our affiliate does not currently offer or has not previously offered franchises in this or any other line of business

Business Offered

We franchise the nght to operate a business offenng quality retail home decor and gift items featunng unique home iron products The franchise or franchised business does business under the trade name. Rod Works, and also uses our other related service marks, trademarks or logos (our "Marks") The Rod Works franchised business includes services and products The Rod Works franchise typically requires between 1,600 to 2,600 square feet and is typically located near residential and business areas in a location with accessible parking The franchise operates using our standards, methods, procedures and specification, called our "System " We do operate a business of the type being franchised We are not involved in any other business activities

Initial Fees

You pay us a $25,000 lump sum franchise fee when you sign the Franchise Agreement for a Rod Works franchise You pay us $15,000 lump sum franchise fee for a second and subsequent Rod Works franchise of the same model Otherwise, the franchise fee is uniform We will refund 25% of the franchise fee you paid if we terminate the franchise for your failure to perform your pre-openmg obligations under the Franchise Agreement We do not give refunds under other circumstances (For further information about termination of the Franchise, see ITEM 17) The nonrefundable portion of the franchise fee is compensation to Rod Works for our efforts in offenng and selling a franchise to you, for our franchise sales and marketing activities to promote the sale of a franchise to qualified franchisees, our participation in the franchise sale our legal compliance with franchise laws and regulations, site selection assistance and guidelines, the development and hosting of initial training programs and our participation in terminating the franchise

Financing

We do not offer direct or indirect financing We do not guarantee your lease or other obligations.

Franchisee Revenue and Profit

We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets We also do not authonze our employees or representatives to make any such representations either orally or in writing If you are purchasing an existing outlet, however, we may provide you with actual records of that outlet If you receive any other financial performance information or projections of your future income, you should report it to the franchisor's management by contacting Mark Turtle, 3381 W Mayflower Ave, Suite 275, Lehi, Utah 84043 (801) 592-6540, the Federal Trade Commission, and the appropriate state regulatory agencies
