Business Description

The name of the Franchiser is AAAC Support Services Inc. ("Company"), with its principal offices at 108 Roxalana Business Park Drive, Dunbar, WV 25064. The Company presently does business under the name AAAC Support Services. The Company was formed in February of 2000 as a Colorado Corporation. Company, AAAC Support Services and A All Animal Control mean AAAC Support Services Inc. (The Franchisor) and "You" means the person or organization who buys the franchise. Company's agent for service of process is disclosed in Exhibit L. The Company has no Predecessor. The Company officers previously operated the pilot unit in Northglenn Colorado beginning in 1995 and sold that unit in 2002. There are no Affiliates that are required to be disclosed in this document.

Prior Experience

The Company has experience and know-how in the operation of the business. The President and Secretary operated one AAAC Support Services business in Northglenn, Colorado which opened in December of 1995. The Company has offered franchises for AAAC Support Services since May 2000. The Franchiser has not offered franchises in any other line of business. Neither the Company nor any affiliate has offered franchises in any other line of business.

Business Offered

The Company grants franchises for the operation of businesses that offer services to residential and business customers offering specialized services in resolving wildlife conflicts, providing organic pest control and handyman services in residential and commercial structures. The Company offers humane and environmentally conscious solutions· to wildlife and pest control problems. The service removes and relocates the nuisance wildlife with follow through with deodorizing, cleaning up waste, repairing damage, and preventing potential problems. Organic and biological control of insect pest services are provided as well as integrated pest, management practices. General home repair and handyman services will also be provided in and outside the home or business. Company's franchises operate under the Company's distinctive business format, systems, methods, procedures, designs, layouts and specifications (the "System"), which the Company may improve, further develop or otherwise modify from time to time. The Company is the licensee of, uses, promotes and sublicenses certain trade names, trademarks, service marks and other· commercial symbols, including the trade and service mark A All Animal Control and associated logos, and may hereafter create, use and license additional trademarks, service marks and commercial symbols (collectively, the "Marks"), in conjunction with the operation of AAAC Support Services franchises. Company has registered the mark with the United States Patent and Trademark Office and granted Registration number 2412653. Franchise Rights Offered. As described in this Offering Circular, the Company will offer and sell to qualified person(s) ("Franchisees") a single-unit franchise (the "Franchise") to own and operate a AAAC Support Services franchise either a Small, Middle or Large Market Segment franchise, in accordance with the System and utilizing the Marks pursuant to the terms of the Franchise Company Franchise Agreement (the "Franchise Agreement"), a copy of which is attached to this Offering Circular as Exhibit A and B with the addendum for a part time or micro franchise. This Offering Circular describes relevant information about the Franchise. There may be instances where the Company has or will vary the terms and conditions of the Franchise Agreement, depending upon the circumstances involved in a particular transaction.

Initial Fees

The Company currently charges a nonrecurring initial Franchise Fee in the amount of $5000 (Five thousand dollars) payable upon the completion of training which all franchisees must pay. Franchisor shall defer the payment of all initial franchise fees owed until such time as the Franchisor of its affiliates have completed all initial obligations owed the Franchisee and the Franchise has commenced doing business. This deferral is imposed by the California Department of Corporations based on the Franchisors financial statements. The Franchise Fee ranges from, a no fee for a conversion or Veteran franchise, $2500 for a Small Market Segment franchise, $16,000 for a Middle Market Segment franchise and $25,300 for a Large Market Segment franchise. You decide at what level you wish to begin your franchise. The initial Franchise Fee is fully earned by the Company and non-refundable when paid, except as noted below. The Company will use the initial Franchise Fee for its general business operations. The fee is uniform for all franchises not presently operating a pest control or other wildlife management related business. The initial franchise fee is waived for all persons presently operating a pest control, wildlife management related business or is an honorably discharged Military Veteran. If you fail to complete initial training to the Company's satisfaction and the Company terminates the Franchise Agreement, the Company will refund the initial Franchise Fee actually· paid by you less Fifteen hundred dollars ($1500) provided you (and your principal owners) execute releases in a form approved by the Company and in conformity with your state laws, of any and all claims against the Company and its affiliates, shareholders, officers, directors, employees, agents, successors and assigns, excepting only claims relating to the Company's obligation to refund a portion of the initial Franchise Fee. There are no refunds under any other circumstances. You pay us or our affiliates no other fees or payments for services or goods before your business opens.

Financing

Neither Company nor any agent of Company offers, directly or indirectly, any financing arrangements to you. Company does not currently place financing with anyone and therefore does not receive any payment for placement of financing. Company is unable to estimate whether you will be able to obtain financing for any part or all of his investment and, if so, the terms of such financing, which will depend on the credit worthiness and other characteristics of the party seeking financing. Company does not have any past or present practice or intention to sell, assign or discount to any third party, in whole or in part, any note, contract or other instrument executed by you. Company does not guarantee your notes, leases or obligations. Company may, at its discretion, finance a part of the franchise fee if you purchase a Middle Market Segment franchise. The terms of the financing will be in accordance with the then applicable financing terms in affect and as agreed too. The Company will provide direct financing in these cases and will not place the financing with any other party. We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet. If you receive any other financial performance information or projections of your future income, you should report it to the franchisor's management by contacting our President at the home office, the Federal Trade Commission, and the appropriate state regulatory agencies.
