Our agent for service of process is listed on Exhibit I for the State of Indiana, and is Craig Hohnberger at our principle business address for the State of Ohio. We do business under the name Oaktree Business Services of Ohio, LLC and Action Coach Business Coaching. We have offered ActionCOACH franchises under Master License Agreements with ActionCOACH USA, Inc. (“ACUI”) in certain counties of Central and Southern Ohio since April 2001 and in the State of Indiana since December 2002. Effective February 1, 2009, we acquired the franchise rights for the remainder of the State of Ohio. (ACUI’s rights and obligations under the Master License Agreements were assigned to ACNA on July 1, 2012.) The geographic area in which we may offer and sell ActionCOACH franchises currently consists of the state of Indiana and the state of Ohio (the “Territory”). We do not operate ActionCOACH businesses of the type you will operate. Other than the business activities described in this disclosure document, we are not engaged in any business activities in the Territory.
