The franchises we offer (each a "Franchised Business") allow you to operate a residential inspection service for single-family, certain multi-family buildings, and commercial buildings under our systems and the AmeriSpec mark and other names and marks that we establish . These services include building inspection services and other residential inspection services and related products such as energy evaluations, radon inspections, wood destroying insects or organism's inspections and winterizing services. The market for the goods and services offered in this business include the general public. Most residential building inspections are performed when people buy or sell a home to disclose to the prospective buyer of the home any defects discovered during the inspection. We expect your customers will be homeowners, homebuyers, and referral sources like real estate brokers, attorneys, mortgage lenders and relocation services. We designate a specific territory based on population for you to establish your office, and to operate your franchise. Your designated area will usually be a contiguous area having a population of approximately 250,000 to 600,000 or over 600,000. (See Item 5 and Item 12.). Our offering for existing franchisees wishing to purchase additional franchises may differ slightly due to. certain considerations for franchisee's experience with our system (i.e. reduction in required training, computer hardware or software requirements, and a discount of the initial franchise fee as disclosed in Item 5.) Existing franchisees purchasing additional franchises must sign our then-current franchise agreement. We also extend this offering to those persons wishing to convert their existing inspection business to an AmeriSpec franchised business providing the same or similar services ("Conversion Franchise"). Our offering for the Conversion Franchise differs slightly from the other offerings described above to the extent that certain considerations are made to enable a smooth transition of the business operations. These considerations are described throughout this Franchise Disclosure Document. AmeriSpec National Accounts Program is a voluntary program for national customers who have access to consumers whereby these National Accounts market AmeriSpec's home inspection services to their customers. Any customers wanting home inspection services are put in touch with AmeriSpec which in tum, allocates these leads to franchisees. If you choose to participate in the National Accounts Program, you must adhere to the terms and conditions required by these National Accounts when you provide services for a National Account customer, sign a service provider agreement with us (see Exhibit H) and pay an administration fee to be applied to the expenses incurred in operating a call center. You have the option of declining a lead call from a National Account, but you must refer the call back to AmeriSpec. At the present time, we are not able to predict how many national customers will participate in the National Accounts Program. There is no guarantee that if you are part of the National Accounts Program that you will get any leads. If you participate in the National Accounts Program, you will be eligible to receive leads for a designated area (usually a designated zip code). You do not have any right, however, to receive leads for jobs to be performed in these designated zip codes. Rather, AmeriSpec has the absolute right to designate an area and/or distribute leads or not distribute leads according to its judgment. Also, if you do not participate in the National Accounts Program, it is possible that other AmeriSpec franchisees will receive leads in your Territory.
