We are a limited liability company organized under the laws of the State of Pennsylvania on March 12, 2014. Our principal business address is 816 W. Springfield Road, Springfield, Pennsylvania 19064. We only do business under the name BirthdayPak. Our agents for service of processme listed in Exhibit A to this Disclosure Document. We grant qualified individuals franchises for the establishment, development, and operation of businesses that sell BirthdayPaks (the “Franchised Business”). We have been franchising since April 2014. We do not engage in any other business activities and have not offered franchises in any other line of business.

Your Franchised Business will offer BirthdayPaks, our high-quality personalized direct mail marketing pieces for local consumers (the “BirthdayPak Clients”) on their birthday within a designated area (the “Protected Territory”). Your Protected Territory will be divided into BirthdayPak Marketing Zones (each a “BMZ”), which are defined as areas containing a population of 12,000 affluent consumers (currently these are primarily females). The Franchised Business is a turnkey multi-channel marketing solution that drives results for retailers such as restaurants, full-services spas, salons and gift shops. The Franchised Business works by initially engaging a pre-qualified consumer via their mailbox with a “BirthdayPak” containing as many as eight (8) personalized promotional gift cards in a high quality, cooperative direct mail package, which arrives at the beginning of the recipient's birth month. The recipient is asked to “activate” their BirthdayPak offers by visiting www.BirthdayPak.com and entering a unique activation code. During the online activation process, the consumer shares critical information, such as an email address, birth month and birth date, and which of the gift cards featured they intend to use. Once activated, the consumer becomes a member of BirthdayPak's online community (the “BirthdayPak Community”), where we create re-marketing opportunities on behalf of various advertising verticals. Each Franchised Business operates according to our proprietary business system which includes; (a) proprietary standards and specifications for providing valuable gift cards from local businesses in a person's community; (b) sales techniques for acquiring new clients to be included in Franchisee's BirthdayPaks (“BirthdayPak Clients”); (c) merchandising, marketing, advertising, and inventory management systems related to the Franchised Business; and (d) general procedures for operating and managing a Franchised Business (the “System”). If you have a quiet and organized work space at home, we expect that you would work from a home office dedicated to the Franchised Business within the Protected Territory. We will also permit'you to operate your Franchised Business from a separate office space if your proposed office space meets our then-current standards.
