We sell franchises in the United States to existing business persons Who currently operate disaster restoration businesses. “Disaster restoration businesses” provide property damage mitigation and/or reconstruction in the event of fires,, floods, earthquakes and other casualties. As described above, we and our predecessor previously offered franchises under the DKI system as “memberships.” Generally, we do not offer a start-up program to persons without experience, desiring to start a hew business in the disaster restoration industry, but rather we intend and expect that our franchisees will be experienced business persons with an established business having; annual gross revenues of at least $3,000,000 (and with gross revenues of at least $5,000;000 for those persons operating within any of the 50 largest “Metropolitan Statistical Areas” (“MSAs”), as defined by the United States Office of Management and Budget). The level of gross revenues earned by a franchisee Will have already been established by the franchisee prior to joining our organization. All new franchisees must have an established reputation in their marketplaces for high quality service, professionalism, teamwork and integrity. Except as to the operations of our other affiliates that serve as suppliers to the disaster restoration industry, neither we nor any of our affiliates have operated any business of the type being offered.
