We offer franchises for the operation of a business providing commercial cleaning, janitorial and maintenance services to businesses, medical offices, and dental offices, industrial and educational establishments under the GenCorp trademarks, trade names, service marks, and logos (“Marks”). You must offer emergency service and meet our standards for timely communication and response to customers. In addition to basic services, you must offer and become qualified to provide floor and carpet cleaning and maintenance, power washing and window washing. If your client requests these additional services, you must inform GenCorp's sales team, so they may provide a quote. We may provide the service to the client or offer the opportunity to you to provide the requested service to the client at the price we have established. The franchise is operated under a business format in accordance with a unique system, including our valuable know how, information, trade secrets, methods, Manual, standards, designs, methods of trademark usage, copyrightable works, sources and specifications, software, confidential electronic and other communications, methods of Internet usage, marketing programs, and research and development connected with the operation and promotion of the Business (collectively, the “System”) owned and developed by us and known as GenCorp Cleaning Services (“Business”). We are designed to support you in your ongoing business efforts. We reserve the right to change or otherwise modify the System and add, modify, or delete any of our designs, processes, or services at any time in our sole discretion. You must operate your Franchise in accordance with our standard business operating practices and sign our standard franchise agreement (“Franchise Agreement”), which is attached to this Disclosure Document as Exhibit B. We have been offering GenCorp franchises since February 2010.
