Link Staffing Services is a Texas corporation incorporated on March 31, 1980 and its principal business address is 1800 Bering, Suite 800, Houston, Texas 77057. Link began offering franchises for Link Businesses in late 1993.

Your Business must offer the services and goods we authorize, and use our distinctive business formats, business system, methods, procedures, signs, designs, layouts, standards, specifications, and the Marks, all of which we may improve, further develop, or otherwise modify from time to time. Link Businesses may provide staffing services to a variety of industries or specialty-skillsets that Link may designate as part of its System Standards (defined below). Currently, Link Businesses provide services that include, but are not limited to, professional staffing and direct hire services in information technology, high end financial and accounting staffing services, clerical and administrative staffing services, and skilled and unskilled labor staffing services, however, Link may modify the services that Link Businesses are required provide from time to time. Your Business may also provide staffing services to other industries or fields that Link does not prohibit (Link currently prohibits providing services to fields/industries that require specialty licensing or insurance requirements that Link does not maintain—for example, physician staffing and nursing). The current description of services that Link Businesses must provide, and the services that Link Businesses are prohibited from providing, is contained in Link's Manual. Link has developed systems and procedures for: recruiting and maintaining temporary, and if applicable, permanent, employees (“Field Staff”) and clients; computerized tracking of Field Staff and clients; payroll systems; drug screening and skill testing of Field Staff; risk management and safety monitoring and training; selection of full-time employees; and client billing and collection procedures. Field Staff are employees of ours who work at clients' workplaces through placements by franchisees, such as you. The contractual relationship with clients under which clients retain the services of Field Staff is with Link, and will remain with Link following the termination or expiration of the Franchise Agreement. Link also offers a conversion franchise to persons who already operate temporary and permanent personnel services (for which a separate Conversion Rider is executed). Your Link Business will operate within a designated market area that will be described in an exhibit to the Franchise Agreement (the “DMA”). Generally, you must provide services to businesses located inside the DMA and may not, unless specifically authorized by us, service clients or place workers at businesses located outside of the DMA. We have and may in the future develop or revise policies regarding providing services outside of a DMA. A summary of our current “Cross-Territorial Policies” is included in Item 12 below.
