We are an Arizona limited liability company formed on January 25, 2017. We maintain our principal place of business at 4250 North Drinkwater Blvd., #300, Scottsdale, AZ 85251. We conduct business under our corporate name and the trademark “PROSE”. Our agents for service of process are disclosed in Exhibit A to this disclosure document. We began offering franchises for Salons (see below) and area representatives on December 18, 2017. We have participated in the business of soliciting and screening prospective franchisees, which you will be doing as an area representative, and have rendered the services and support to franchisees that you will also be required to do as an area representative. Our affiliate operates PROSE Salons and is familiar with the services and support necessary. We do not engage in any types of business activities other than franchising and providing services to our franchisees. Our affiliate PROSE Boutiques, LLC (“PB”) operates PROSE Salons similar to the ones operated under Franchise Agreements. We have not offered, nor do we currently offer, franchises in other lines of businesses.
