The Franchised Businesses are operated under a business format per a unique system, including our valuable know-how, information, trade secrets, methods, Operations Manual, standards, designs, methods of trademark usage, copyrights, sources and specifications, proprietary licensed software, confidential electronic and other communications, methods of Internet usage, marketing programs, and research and development connected with the operation and promotion of SafeSplash Businesses, SwimLabs Businesses (in a Dual Brand Location), or Swimtastic Businesses (“System”). We reserve the right to change or otherwise modify the System at any time in our sole discretion. SafeSplash Businesses, SwimLabs Businesses (in a Dual Brand Location), and Swimtastic Businesses offer various “learn to swim” programs for children and adults, birthday parties, summer camps, and other swimming-related activities (“Services”). The only significant differences between SafeSplash Businesses and Swimtastic Businesses relate to the marks associated with the respective brands, as well as their geographic locations. With respect to the latter, the geographic reach of the Swimtastic brand currently extends into parts of the Midwest or Florida, while the geographic reach of the SafeSplash brand extends more broadly throughout the United States.
