Skoah Franchise, LLC is a limited liability company formed on October 17, 2019 under the laws of the state of Delaware. We have no parents, predecessors or affiliates required to be disclosed except as follows: Our parent Skoah U.S.A. Inc., a Washington corporation formed in March 2013, owns and operates SKOAH stores in the United States and also provides us certain management services. Our predecessor Skoah Franchising, Inc., a corporation formed under the laws of British Columbia, Canada. Our affiliate Skoah Franchise Canada, Corp, a corporation formed under the laws of British Columbia, Canada which franchises the same or similar businesses in Canada. Our affiliate Skoah Inc., a British Columbia corporation formed in June 2000, owns and operates SKOAH stores in Canada and licenses to us the trademarks used in SKOAH franchise stores and provides us certain management services. Our affiliate Skoah Products Inc., (formerly Skoah Franchising, Inc.) a British Columbia corporation formed March 2016 which owns and operatesthe Skoah e commerce site. Our affiliate Skoah Koncept Stores Inc., a British Columbia corporation formed in October 2010 (“SKSI”), supplied all SKOAH branded products and merchandise and related marketing materials to our franchisees through January 31, 2018. SKSI merged into Skoah, Inc. effective February1, 2018 and no longer exists; Skoah, Inc. now supplies those items to our franchisees. In 2010, Skoah Inc. entered into (and later assigned to SKSI) a dealer agreement with a party to develop retails stores in Massachusetts to sell SKOAH products and related services (this dealer converted to a franchise in March 2018). In 2011, Skoah Inc. entered into (and later assigned to SKSI) a dealer agreement with a party to develop a retail store in North Vancouver, BC to sell SKOAH products and related services (this dealer converted to a franchise in August 2016). These dealers did not pay franchise fees or royalties, did not have a prescribed marketing plan, and did not obtain significant assistance from SKSI, us, or any affiliates. Our affiliates are no longer offering dealerships, nor are we.
