We are a Nevada corporation, incorporated on April 9, 2018 and our name is “Smoke and Spice Group, Inc.” and may also use the name “Smoking Pig BBQ.” Our principal business address is 3340 Mowry Avenue, Fremont, California 94538. We operate and sell franchises for the operation of a restaurant known as “Smoking Pig BBQ” (the “Franchise,” “Business,” “Restaurant,” “Franchised Restaurant” or “Franchised Business”). We offer a franchise agreement (“Franchise Agreement”) for the development and operation of a full service barbeque restaurant that offers a variety of slow smoked barbecue meats, specialty dishes, combination meals, appetizers, stews, salads, non alcoholic beverages at a specific location, which is within a protected territory. This is the first time SSGI has offered franchises of the type described in this Disclosure Document and SSGI has never offered franchises in any other line of business. Our agents for service of process are disclosed in Exhibit B.
Smoking Pig™ BBQ is a system developed for the establishment and operation of a full-service barbecue restaurant that is devoted to the preparation and sale of various southern-style smoked barbecue meats, specialty dishes, combination meals, signature side dishes, appetizers, stews and salads made from scratch and prepared to order using fresh ingredients, proprietary recipes, spice rubs, dressings and sauces. Our philosophy is centered on preparing and serving a wide variety of slow-smoked barbecue menu items and specialty dishes using high quality meats and ingredients all of which are affordably priced in a fun, casual and family-oriented environment. This business is a full-service barbecue restaurant that operates year-round and is typically located within free-standing structures and strip centers and can also be operated out of non-traditional locations like: hotels, airports, casinos, train stations, universities, stadiums, arenas, theme parks or military installations (all of which must be approved by us). Each Smoking Pig™ BBQ Franchise will prepare all lunch and dinner menu items made-to-order using our proprietary recipes, dressing and sauces for either dine-in, take-out or delivery that includes: appetizers (such as: chicken wings, nachos, stuffed potatoes, sliders, etc.), a variety of slow-smoked barbecue meats (such as: chicken, spare ribs, beef brisket, pork, sausage, etc.), specialty dishes (such as: Carolina-style pulled pork, pulled chicken, bacon-sausage burgers, etc.), custom combination meals (giving customers the ability to build their own meals), our signature cornbread and side dishes (such as: coleslaw, mashed potatoes, house-cut fries, barbecue beans, mac n' cheese, etc.), a build-your-own meal kids menu, a variety non-alcoholic beverages (such as: carbonated drinks, flavored teas and coffee), our signature desserts (such as puddings, cobblers and pies served by the slice or whole) and limited retail items for sale (such as: bottled dressings and sauces, hats shirts and novelty items) in addition to offering delivery and catering services and other food and beverage products or services approved by us. We may authorize the sale of additional products and services in the future such as: live music, beer and wine, a full-service bar serving alcoholic beverages, group fundraising events, promotional events and other food and beverage related products and services approved by us.
