Soccer Shots offers to qualified individuals, partnerships, corporations or other entities a franchise granting the right to establish and operate one Franchised Business within a defined Territory, which will consist of a population area of approximately 500,000 people. The borders of your territoiy will be defined by natural and artificial boundaries, including zip codes, county and town lines and rivers, in your local area. The "Franchised Business" is an elective youth soccer education program that teaches and promotes soccer and character development to children, primarily ages 2-8, at various locations, including childcare centers, preschools, parks and community centers, camps or after school or summer programs, as further defined in the Operations Manual. You will operate the franchise pursuant to a unique system ("System") and curriculum ("Prograni"), developed by Soccer Shots. The characteristics of the System include a license to use the Marks as described in this Disclosure Document for the operation of the Program; approved soccer equipment; procedures and techniques for marketing the Program and performing the Program; the Soccer Shots Operations Manual; website tools, including customer online registration ("Online Registration"); newsletter templates; and other confidential operations procedures, methods and techniques for record keeping and reporting, all of which may be changed, improved and further developed by us. Although we do not have any other significant business activities, we may develop additional programs for use by our franchises. Franchises may be required to offer such programs.
