We have one affiliate, 3 predecessors that were wholly owned by us before their dissolution as described below and no parents. Our affiliate, Teen Golf Adventures, LLC (“Teen Golf Adventures”) is a California limited liability company which was organized on November 12, 2002 and has operated a golf instructional business similar to the TGA Sports Franchised Business in the Los Angeles, California metropolitan area under the name Total Golf Adventures since August 2003. Our predecessor, TGA Premier Junior Golf Franchise, LLC, formerly known as Total Golf Adventures Franchise, LLC (“TGA Golf”), was a California limited liability company which was organized on September 25, 2006 and sold franchises for golf instructional businesses similar to TGA Sports Franchised Businesses under the name Total Golf Adventures and TGA Premier Junior Golf from October 2006 through December 2018. TGA Golf was dissolved, and a Certificate of Cancellation was filed with California Secretary of State on December 9, 2019. Our predecessor, TGA Premier Junior Tennis Franchise, LLC (“TGATennis”) was a California limited liability company which was organized on September 12, 2011 and sold franchises for tennis instructional businesses similar to TGA Sports Franchised Businesses from October 2011 through December 2018. TGA Tennis was dissolved, and a Certificate of Cancellation was filed with California Secretary of State on September 27, 2019. Our predecessor, TGA Premier Sports Franchise, LLC (“TGA Sports”), was a California limited liability company which was organized on January 26, 2017 and sold franchises for sports instructional businesses for flag football, floor hockey, lacrosse, ultimate, volleyball and cheerleading similar to TGA Sports Franchised Businesses from March 2017 through December 2018. TGA Sports was dissolved, and a Certificate of Cancellation was filed with California Secretary of State on September 13, 2019. All franchise agreements in effect on January 1, 2019 between our predecessors, TGA Golf, TGA Tennis and TGA Sports, and their respective franchisees were assigned to, and assumed by us, effective as of January 1, 2019. All franchise agreements for TGA Golf, TGA Tennis and TGA Sports franchises sold by TGA Golf, TGA Tennis and TGASports after January 1, 2019, but before February 14, 2019, were assigned to, and assumed by us, effective February 14, 2019. We are the sole franchisor of TGA golf, tennis, flag football, cheerleading, lacrosse, volleyball, floor hockey and ultimate franchised businesses. We have offered our franchises for sale since February 14, 2019, and neither we, Teen Golf Adventures, TGA Golf, TGA Tennis nor TGA Sports have ever offered franchises in other lines of business. Our principal business address and the principal business address for Teen Golf Adventures, TGA Golf, TGA Tennis and TGA Sports is 1960 East Grand Avenue, Suite 811, El Segundo, California 90245.
We offer franchises for TGA Sports FrmcMsed Businesses which are identified by certain trade names; service marks and trademarks, such as TGA Premier Sports, TGA Sports, TGA, TGA Premier Golf, TGA Premier Tennis, TGA Flag-Football; TGA Cheerleading, TGA Lacrosse, TGA Volleyball, TGA Floor-Hockey and TGA Ultimate and other trade names, service marks, and trademarks we may designate (the "TGA Sports Marks") and Offer our individual proprietary programs and cUrriculiuhs (the "TGA Sports Proprietary Programs") for golf, tennis, flag-football, cheerleading, lacrosse, volleyball, floor hockey and Ultimate instruction, in school and after school sports programs; .sports clinics, camps, tournaments, parent/child events, ladies clinics and other related-acivities.
