We will offer to enter into franchise agreements (“Franchise Agreements”) with qualified entities and persons that wish to establish and operate an Outdoor PCst Control Business Under the “The Mosquito Authority” trademarks, trade names, service marks and logos The Mosquito Authority Marks” or “Marks”)., We have not offered franehises for any other types of businesses other than the franchises Offered under The Mosquito Authority Marks. The franchise is operated under a business format per a unique system, including our valuable knowhow, information, trade secrets, methods. Operations Manual, standards, designs, methods of trademark usage^ copyrights, sources and specificafions, confidential electronic and other eommunicafionsi methods of Internet Usage, marketing programs, and research and development, connected with the operation and promotion of Outdoor Pest Control Businesses (“System”). We reserve the right to change or otherwise modify the System at any time in OuT sole discretion. Each Outdoor Pest Control Business offers residential and Commercial Customers a variety of goods and services in the pest elimination and control industry including, but not limited to application of a repetitive application pest elimination and control systems for both residential and commercial use. You must operate your Outdoor Pest Control Business, per our standard business operating practices and sign pur standard franchise agreement (“Franchise Agreement”). Your Outdoor Pest Control Business ;mUSt offer authorized services and products. We reserve the right to add, modify, or delete any Services or products that you must offer or sell at your Outdoor Pest Control Business at ariy time in pur sole diseretion. You must also obtain all necessary permits, licenses and approvals to operate your Outdoor Pest Control Business. We offer a Standard Franchise to those who meet our then current standards and qualifications, in our determination. As a Standard Franchise operator you may operate one Outdoor'Pest Control Business for each Franchise Agreement you sign with us. We also offer to select qualified persons the opportunity to acquire the, right to develop Outdoor Pest Control Businesses, in multiple Territories. For Standard Franchises we will use commercially reasonable efforts to grant only one license to a franclnsee for every 18,000 owner occupied dwellings (or incremental portion thereof) in a designated geographical area. We will Use the most recent population information available in the U.S. Census Data, or other population statistical sources of our ehoosmg: to determine populations. We reserveUhe right to change^ modify, or delete the Population Limits in OUT sole discretion.
