We franchise the operation of a business whereby you will be in the publishing business, you will be a publisher of the Town Planner Community Calendar using a specific format under the “Town Planner”® mark In our discretion, this publishing business may include, and currently does include, the business of selling advertising on our website ("Online Advertising Program”) This Online Advertising Program is sometimes referred by us as “EZ Town ” Your sales in the Town Planner program will not be seasonal The Town Planner print program has sales through the beginning of November and renewal sales begin when the calendar comes out in December Your first year of sales will start when you sign on as a franchisee and will end in November You will also be selling website, email newsletter and mobile app ads that are year round sales Your competition may include any direct mailed marketing piece that is sent into the homes in your exclusive territory These companies would include City Publications, Coffee News, Money Mailer, Valpak, Pennysaver and RSVP Your competitors may also include other companies and individuals that provide marketing services and other national marketing companies The Town Planner® Franchise must operate under our trade names, service marks and trademarks (“Marks”) and in accordance with our operating procedures (“Systems”) You are granted the right to operate a Town Planner® Franchise by signing our standard Franchise Agreement (see Exhibit A) and supplemental documents attached to Exhibit A You are an independent business that is licensed to utilize our name, logo, business system and proprietary software You can only sell and operate in your Exclusive Territory You will be known as Town Planner® You can use all our Marks and Systems under the name “Town Planner®”, which are licensed to you under this Franchise opportunity There may be laws and regulations applicable to the operation of a franchise business within a particular state and we urge you to make inquiries about the described laws, regulations and any other laws or regulations that may impact the operation of the Town Planner® Franchise within the specific area licensed to you
