We were formed on March 25, 2019, as a Michigan Limited Liability Company. We do business under our entity name and the names “Z PLUMBERZ” and “PLUMBERZ WITH A Z.” We do not do business under any other name; however, our owners have other businesses as described below. On April 4, 2019, our parent, BELFOR Franchise Group, LLC (“BFG”) purchased the assets of Plumbing Professors, LLC, a Michigan limited liability company formed on October 18, 2006 (formerly known as North American Service Group, LLC, and ROOTER1, LLC), and assigned the assets of such entity to us. As such, Plumbing Professors, LLC is our predecessor. Plumbing Professors, LLC operated under the name “PLUMBING PROFESSORS,” had a business address of 37545 Schoolcraft Road, Livonia, Michigan 48150 and was a company that offered residential and commercial plumbing, sewer and drain cleaning and repair services. Plumbing Professors, LLC was not a franchise company and did not offer franchises in this or any line of business. We have no other predecessors.
