We were organized under the laws of Delaware as a limited liability company on September 28, 2018 under our former corporate name, Zambrero Carolina, LLC. We amended our current corporate name in June 2020. Our principal business address is at 1000 Bald Hill Road, Warwick, Rhode Island 02886. We only do business under our corporate name and our then current proprietary marks, including our current principal mark ZAMBRERO. We grant qualified parties a franchise for the right to independently own and operate a Franchised Business that is a fast casual restaurant featuring gourmet burritos, tacos, quesadillas, nachos, taco bowls, healthy burrito bowls topped with slow cooked meats and specialty items, along with any other menu/specialty items, fresh salsa and guacamole, sides and beverages we authorize. Each Franchised Business operates utilizing our (a) then current primary marks, such as our current principal mark ZAMBRERO and any other proprietary marks and names we use now or may designate in the future (collectively, the “Proprietary Marks”), and (b) proprietary business system that is described more fully below in this Item (collectively, the “System”). We first began offering franchises for the right to operate a Franchised Business in the United States in September 2019.
