Us, Any Parents, and Certain Affiliates. Our name is B & P Burke, Inc. Our principal business address is 18281 Gothard St., Suite 203, Huntington Beach, CA 92648. We do not have any parent entities. We do not have any affiliates that offer franchises in any line of business or provide products or services to our franchisees. Our Predecessors We do not have any predecessors. Our Business Name We use the names “B & P Burke, Inc.” and “Grasons Co.”. We do not intend to use any other names to conduct business. Agent for Service of Process Our agent for service of process in California is Simone Kelly, and the agent's principal business address is 18281 Gothard St., Suite 203, Huntington Beach, CA 92648. Our agents for service of process in other states are disclosed in Exhibit A. Business Organization We are a California corporation. We were incorporated May 8, 2014.

Prior Experience

We have offered franchises since November 2014. None of our affiliates has offered franchises in other lines of business. None of our affiliates provides products or services to our franchisees. Our affiliate QKS, Inc., owned and operated a Grasons Co business in Huntington Beach, CA from 2008 until 2015, when it sold the territory to a franchisee. QKS, Inc. has been dissolved.

Business Offered

We do not operate businesses of the type being franchised. We do not have any other business activities. We have not offered franchises in other lines of business. If you sign a franchise agreement with us, you will develop and operate an estate sale business under the trade name Grasons Co. Estate sales. This includes both on-site and off-site sales. The general market for estate sales is well developed. Our clients are the executors or heirs of deceased people, as well as people who are down-sizing or relocating. You will compete against other estate sales service companies, most of which are independently owned and operated. Grasons FDD 2019 2 Sales are not seasonal. We are not aware of any laws or regulations specific to our industry.

Initial Fees

When you sign your franchise agreement, you must pay us $40,000 as the initial franchise fee for the first franchise. For the second and greater franchise, we will charge an initial franchise fee of $25,000. In our past fiscal year, we sold franchises for an initial franchise fee ranging from $10,000 to $40,000. The low end of the range was charged to a franchisee who purchased multiple franchises. If (1) you fail to complete the initial training program to our satisfaction, or (2) we conclude, no more than 10 days after you complete the initial training program, that you do not have the ability to satisfactorily operate your franchise, then we have the right to terminate your franchise agreement. If we do so, we will refund your franchise fee less any out-of-pocket costs we have incurred, subject to your signing a general release of our liability. Otherwise, the franchise fee is not refundable.

Financing

We may (but are not required to) allow you to pay the initial franchise fee over time. We do not have a standard program for financing, but a sample financing arrangement would be as follows: (i) Financing covers: initial franchise fee only (ii) Lender: us (iii) Amount of financing: up to 50% of the initial franchise fee (iv) Rate of interest: none (v) Number of payments: $500 per month plus 10% of net sales for up to 30 months (vi) Security interest: none (vii) Guaranty: by franchise owner (viii) Prepayment permitted: yes, without penalty (ix) Potential liabilities upon default: failure to pay monthly installments is a default under the franchise agreement, enabling us to terminate the franchise and any principal or interest due under the note will become immediately due and payable. Grasons FDD 2019 13 We document the financing in a separate note. You are required to waive presentment for payment, protest and notice of protest and demand. Otherwise, you are not required to waive defenses or other legal rights of a debtor. We currently do not sell, assign, or discount the financing arrangement to a third party (but we retain the right to do so). A copy of the Promissory Note is attached as Exhibit D. We do not guarantee your note, lease or obligations.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances. We do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. We also do not authorize our employees or representatives to make any such representations either orally or in writing. If you are purchasing an existing outlet, however, we may provide you with the actual records of that outlet. If you receive any other financial performance information or projections of your future income, you should report it to the franchisor's management by contacting Simone Kelly, 18281 Gothard St., Suite 203, Huntington Beach, CA 92648, and 714-846-3800, the Federal Trade Commission, and the appropriate state regulatory agencies.
