We are an Ohio corporation, our principal business address is 3046 Brecksville Road, Building 2, Suite B1, Richfield, Ohio 44286 We were formed on October 11, 2007 On November 1, 2007 we entered into a licensing agreement for a term of fifty years with Larry Paulozzi, owner of the Town Planner® trademark which grants us the exclusive right to grant franchises under the Town Planner® trade mark to you

Prior Experience

Our predecessor was Pauler Communications, Inc., dba Town Planner which was formed in Ohio on November 16th, 1987 Pauler Communications, Inc. never offered franchises Pauler Communications, Inc. had offered Town Planner® Service Mark License Agreements from November 16, 1989 to October 31, 2007 and currently has 18 licensees under license agreements Neither we, our affiliate or our predecessor will offer Town Planner Service Mark License Agreements as of October 31, 2007 Our predecessor is located at 3046 Brecksville Road, Building 2, Suite B1, Richfield, Ohio 44286 Also our predecessor was Magic Marketing, a sole proprietorship which offered Town Planner franchises from June 1989 to June 1990 Magic Marketing did not sell any franchises and IS no longer offering franchises The principal business address of Magic Marketing was 17588 Brandywine Dr, Strongsville, Ohio 44136 Also our predecessor was Town Planner Franchise Sales Incorporated, a Delaware corporation formed in June, 1995 and dissolved in November 1996 Town Planner Franchise Sales Incorporated offered Town Planner franchises from June 1995 to June 1996 It did not sell any franchises The principal business address of Town Planner Franchise Sales, Inc is 3046 Brecksville Road, Building 2, Suite B1, Richfield, Ohio 44286 Our affiliate is Pauler Communications, Inc, which provides production, printing and publishing services to our franchisees Pauler Communications' business address is 3046 Brecksville Road, Building 2, Suite B1, Richfield, Ohio 44286 Neither we or Pauler Communications, Inc have conducted business in any other line of business Neither we or Pauler Communications, Inc has offered franchises in other lines of business Pauler Communications, Inc had operated a business of the type being franchised from November 16, 1989 until December 2003 and, since April 2015, operates a business of the type being franchised We do not have any other predecessor or affiliate We have offered this type of franchise since January 2, 2008 We do not offer franchises in any other line of business We do not have any other business activities Our agents for service of process are disclosed in Exhibit E

Business Offered

We franchise the operation of a business whereby you will be in the publishing business, you will be a publisher of the Town Planner Community Calendar using a specific format under the “Town Planner”® mark In our discretion, this publishing business may include, and currently does include, the business of selling advertising on our website ("Online Advertising Program”) This Online Advertising Program is sometimes referred by us as “EZ Town ” Your sales in the Town Planner program will not be seasonal The Town Planner print program has sales through the beginning of November and renewal sales begin when the calendar comes out in December Your first year of sales will start when you sign on as a franchisee and will end in November You will also be selling website, email newsletter and mobile app ads that are year round sales Your competition may include any direct mailed marketing piece that is sent into the homes in your exclusive territory These companies would include City Publications, Coffee News, Money Mailer, Valpak, Pennysaver and RSVP Your competitors may also include other companies and individuals that provide marketing services and other national marketing companies The Town Planner® Franchise must operate under our trade names, service marks and trademarks (“Marks”) and in accordance with our operating procedures (“Systems”) You are granted the right to operate a Town Planner® Franchise by signing our standard Franchise Agreement (see Exhibit A) and supplemental documents attached to Exhibit A You are an independent business that is licensed to utilize our name, logo, business system and proprietary software You can only sell and operate in your Exclusive Territory You will be known as Town Planner® You can use all our Marks and Systems under the name “Town Planner®”, which are licensed to you under this Franchise opportunity There may be laws and regulations applicable to the operation of a franchise business within a particular state and we urge you to make inquiries about the described laws, regulations and any other laws or regulations that may impact the operation of the Town Planner® Franchise within the specific area licensed to you

Initial Fees

The Initial Franchise Fee amount depends on the number of households in the Exclusive Territory All Standard Franchisees must pay an Initial Franchise Fee of not less than $25,000 for an Exclusive Territory consisting of several contiguous zip codes with a total of 50,000 households or less The Initial Franchisee Fee will be greater for Exclusive Territories of more than 50,000 households, as described below The Initial Franchise Fee is determined as follows The Initial Franchise Fee is a minimum amount of $25,000 for the initial 50,000 households or less and Additional Households may be bought using the following fee schedule All households over 50,000 will be sold at $0 30 a household This initial fee grants you the right to operate within a specified area Household numbers are determined using the U S Post Office statistics for zip codes The Initial Franchise Fee must be paid when you sign your Franchise Agreement in a lump sum The initial Franchise Fee is fully earned upon our receipt and is not refundable

Financing

Neither we nor any agent or affiliate offers direct or indirect financing to you, guarantees any note, lease, or obligation of yours, or has any intent to sell, assign, or discount to a third party all or any part of any financing arrangement of yours

Franchisee Revenue and Profit
