The Inside Coup Franchising Company, Inc (“we” or “us”) is a corporation that was incorporated on February 27, 2015 in the State of Arizona Our principal place of business is 5111 North Scottsdale Rd Suite 260, Scottsdale Arizona 85250 We do business under our corporate name and under the name “The Inside Coup ” We will refer to the person or corporate entity who buys this franchise as “you,” which includes all franchise owners and partners, if franchisee is a corporation, partnership or other entity, throughout this Disclosure Document We are offering franchises for the operation of businesses (the “Business” or “Franchised Business”) that produce a direct mail magazine (the “Services”) We do not company locations of the type being fiend used We have offered franchises since June 2015 We have not conducted business in any other the of business We have not offered franchises in any other line of business Our agents for service of process are listed in exhibit A

Prior Experience

We have no parent or predecessor but have two (2) affiliates Our first affiliate is Covered Marketing, LLC, an Arizona limited liability company headquartered at our address (“Supply Affricate”) Our Supply Affiliate does not own or operate a business of the type being franchised Our Supply Affiliate will be the approved si^ipher for graphic design, magazine layout, editing, print, making coordination, and other similar services Our Supply Affiliate may also prepare invoices for your clients and send them to you feat you to distribute and collect payment and/or provide data entry services to you Our Affiliate has never offered franchises in this or any other the of business Our second affiliate is The Inside Coup Advertising Company, LLC, an Arizona limited liability company headquartered at our address (“Operating Affiliate”) Our Operating Affiliate previously owned and operated businesses of the type being offered in this Disclosure Document The Operating Affiliate sold its the Inside Coup businesses to a franchisee in 2017 Our Operating Affiliate is not an approved of any product or service you must purchase or lease Our Operating Affiliate has never offered franchises in this or any other line of business

Business Offered

We will offer “The Inside Coup” franchises to qualified individuals and corporate enables for the operation of a business that produces a direct mail magazine As a franchisee, you will sell ads and market the magazine in local territories, which will fund your Business Our franchise agreement (the “Franchise Agreement”), which is attached to this Disclosure Document as Exhibit C, gives you the next to establish and operate one Business and the next to use the Proprietary Marks and the System solely with the operation of the Business, and solely within the territory granted to you We expect that you will operate your Franchised Business from a home office, if you are permitted to do so by local regulations You will sign a Franchise Agreement with respect to your first The Inside Coup franchised business You may sign a Development Agreement in addition to the Franchise Agreement If you sign the Development Agreement, you will have the right to open additional The Inside Coup businesses in a manner consistent with the Development Schedule outshined in the Development Agreement You will be required to sign our then current Franchise Agreement with respect to each additional The Inside Coup franchised business opened, which may differ from the current Franchise Agreement included with this Disclosure Document If you commit to at least two (2) additional The Inside Coup franchised businesses, you will receive a reduced Initial Franchise Fee as to each of the three (3) The Inside Coup Businesses The minimum development and development schedule will be negotiated between you and Franchisor prior to your execution of the Development Agreement

Initial Fees

You must pay to us an initial franchise fee (“Initial Franchise Fee”) based upon the number of “Zones” that are included in your Designated Territory Each Zone includes approximately 20,000 making addresses The minimum Designated Territory will consist of three (3) Zones The chart below identifies the Initial Franchise Fee payable depending upon the number of Zones included in your Designated Territory. The initial franchise fee includes the jump-start program that we provide to you Our jump-start program includes five (5) days of on-site training at your Business within your first 90 days of operation, up to 1,500 business contacts, a customer relationship management ("CRM") database we provide to you, one (1) free postcard mailing (1,500 ), and your initial supply of business cards You will also pay us $507 ($169 per month for the first 3 months) in Administratical Support Fees You have the option but not the obligation to enter into a Development Agreement with us The Development Agreement grants you an agreed upon timeline to open Zones If you enter into a Development Agreement with us, you will pay us a Development Fee The Development Fee is based upon the same chart as the chart above There are no other payments to or purchases from us or any affiliate that you must make before your Business opens

Financing

We do not offer direct or indirect financing we do not guarantee your note, lease, or any other obligation

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document Financial performance information that differs from that included in Item 19 may be given only if (1) a franchisor provides the actual records of an existing outlet you are considering buying or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances
