Business Description

Our parent company. The Hertz CoiporaiiOn (foe “Parent”), was incorporated in Delaware in 1967 and is our sole shareholder. Ouf Parent is a direct wholly-owned subsidiary of Rental Intermediate Holdings,, LLC (“RClH”),, a Iraiited liability company formed in Delaware on July 14, 20l 4. RCIH is wholly-owned by Hertz: Olobal Holdings, Ine. (“Hertz Holdings”), a Delaware corporation formed on Angiist 15, 2015, and which is a Successor to a prior Delaware corporation of the same name, formed on July 15, 2005. Hertz Holdings is the top-level holding company for the consolidated Hertz businesses. Our Parent, RCIH and Hertz Hdldings all maintain foeir principal places of business at 8501 Williams Road, Estero, Florida 33928.

We do not and did not have any predecessor during foe 10-year period immediately before foe close of our most recent fiscal year.

Business Offered

Our Parent and our affiliates conduct, and we arid Our affiliates license others to conduct “Vehicle Rental Businesses” (and each a “Vehicle Rental Business”) that rent cars without drivers for a period of 365 days or less for (i) transient rental purposes; and (iv) insurance and rneehanical related vehicle replacement purposes (ineluding those rentals or leased cars that are billed to or reimbursed by another party of are the result of a referral for such purpose). Such Vehicle Rental Businesses are conducted (or are franchised to be conducted) under a plan of system (the “System”), which is identified by the “HERTZ” mark and Other related Proprietary Marks (defined below) (“Hertz Businesses” and each, a “Hertz Business”), In this Disclosure Document, we mayrefer to yotir Hertz Business as “Your Hertz Business.” The distinguishing characteristics of the System include: distinctiye exterior and interior design, decor and furnishings, training and assistance, information advice, and services relating, among other things, to methods of marketing, record keeping, reporting, advertising and sales promotion, uniform standards and specifications for equipment, a reservations service, the “Rent It Here- Leaye it There” program permitting one-way rentals, the Hertz #1 Club, #1 Club Gold and the Hertz Ultimate Choice programs, and other programs and services, all of which may be Changed, improved and further developed by Us.

Initial Fees

Yqu will be required to pay us an initial franehise fee which will vary as determined by US; depending on a number of factors including the following: (1) potential car fleet size; (2) potential area population growth; (3) potentM ^ea economic growth; (4) existing and potential for future grow^ of hotel accommodations; (5) existing Hertz national account Customers located in the area; (6) existing and potential for future i^owth Of local airport passenger traffic; and (7) extent of the recreational or regional markets. The: range of the initial franchise fees will vary extensively.
