Prior Experience

We have one predecessor and affiliate, Maxum Communications, Inc. that was founded in August 1990 by Jim Muehlhausen who continues as its sole shareholder. From its founding until June of 2001, it provided various uiu'elated services to local businesses. From June 2001 to October 2003 it offered peer group and consulting services under the dba CEO Partners, changing its operating name to CEO Focus in October 2003. CEO Focus was founded by Jim Muehlhausen to operate a consulting service that organizes CEO Peer Groups, provides business coaching, consulting and training for CEO's and managing partners from our Indianapolis offices which we share with Maxum. This business provides the basis for the business plan that is shared with franchisees under the CEO Focus, LLC. Franchise Agreement. We do not have a parent company

Business Offered

We grant franchises the right to market, sell and organize CEO Peer Groups, provide business coaching, consulting and training services for the business community. Franchisees will market and operate their businesses under the trade name “CEO Focus” for which our affiliate, Maxum Communications, Inc. was granted a Trademark on August 24, 2004, Registration Number 2,877,738. We have been given the exclusive rights to use the CEO Focus mark in franchising by Maxum.

Initial Fees

Franchisees pay a uniform Initial Franchise Fee of $25,000 for a license to operate a CEO Focus franchise within a designated geographic territory. Payment may be made as a deposit of $2,500 and the balance in a lump sum at the time you sign your Franchise Agreement but no later than 60 days after you complete our Training Program. It is considered earned and non-reftmdable when paid. Upon payment of your initial deposit, you may complete the Franchise Training Program described herein without further obligation to sign our Franchise Agreement or make additional payments to us. If you do not pay the balance of your Initial Franchise Fee, the Non-Disclosure and Non-Compete Agreement contained in your Deposit Receipt Agreement (Addendum F of the Franchise Agreement) will survive. You will not pay us or our affiliate any other fees or payments before your business opens.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing outlet you are considering buying: or (2) a franchisor supplements the information provided in this Item 19, for example, by providing information about possible performance at a particular location or under particular circumstances.
