Business Description

We conduct business under the name “The Mosquito Authority.” We do not do business under any other name. Our principal business address is 346 9 Street, SI, Hickory, North Garolina 28602. TMA Franchise System, Inc. offered franchises for Outdoor Pest Gontrol Businesses from October, 2009 until Decemiber, 2011. Our Predecessor TMA Franchise Systems, Inc. began offering franchises for Outdoor Pest Gontrol Businesses in December, 2011 until April, 2018., We began offering franchises for Outdoor Pest Gontrol Businesses in April, 2018i We do not offer and have not previously offered franchises in any other line of business. We are not engaged in any other line of business, The spouse of one of our principals has operated one Outdoor Pest Control Business in Hickory, NC since: April, 2011. We have no other predecessors except as identified above. Our agents for service of process are disclosed in Exhibit D.

Prior Experience

The Franchisor is TMAFS, LLG, a North Garolina limited liability company organized On October 17, 2016. Our Predecessor is TMA Franchise Systems, Ihe. (“Predecessor”), a North Garolina corporation incorporated on December 2, 2011. Oh. January 25, 2018, TMA, Franchise Systems, Inc. merged into TMAFS, LLG. TMAFS, LLG is the surviving entity of the merger. TMAFS succeeded to the assets and liabilities, including franchise agreements, of our Predecessor. The principal business address of our Predecessor was 346 9 Street,, SE, Hickory, North Garolina 28602., The Predecessor of TMA Franchise Systems, Inc. is TMA Franchise Systern, Inc., a North Garolina corporation incorporated on October 2, 2009 and dissolved in December, 2011. Business Offered

We will offer to enter into franchise agreements (“Franchise Agreements”) with qualified entities and persons that wish to establish and operate an Outdoor PCst Control Business Under the “The Mosquito Authority” trademarks, trade names, service marks and logos The Mosquito Authority Marks” or “Marks”)., We have not offered franehises for any other types of businesses other than the franchises Offered under The Mosquito Authority Marks. The franchise is operated under a business format per a unique system, including our valuable knowhow, information, trade secrets, methods. Operations Manual, standards, designs, methods of trademark usage^ copyrights, sources and specificafions, confidential electronic and other eommunicafionsi methods of Internet Usage, marketing programs, and research and development, connected with the operation and promotion of Outdoor Pest Control Businesses (“System”). We reserve the right to change or otherwise modify the System at any time in OuT sole discretion. Each Outdoor Pest Control Business offers residential and Commercial Customers a variety of goods and services in the pest elimination and control industry including, but not limited to application of a repetitive application pest elimination and control systems for both residential and commercial use. You must operate your Outdoor Pest Control Business, per our standard business operating practices and sign pur standard franchise agreement (“Franchise Agreement”). Your Outdoor Pest Control Business ;mUSt offer authorized services and products. We reserve the right to add, modify, or delete any Services or products that you must offer or sell at your Outdoor Pest Control Business at ariy time in pur sole diseretion. You must also obtain all necessary permits, licenses and approvals to operate your Outdoor Pest Control Business. We offer a Standard Franchise to those who meet our then current standards and qualifications, in our determination. As a Standard Franchise operator you may operate one Outdoor'Pest Control Business for each Franchise Agreement you sign with us. We also offer to select qualified persons the opportunity to acquire the, right to develop Outdoor Pest Control Businesses, in multiple Territories. For Standard Franchises we will use commercially reasonable efforts to grant only one license to a franclnsee for every 18,000 owner occupied dwellings (or incremental portion thereof) in a designated geographical area. We will Use the most recent population information available in the U.S. Census Data, or other population statistical sources of our ehoosmg: to determine populations. We reserveUhe right to change^ modify, or delete the Population Limits in OUT sole discretion.

Initial Fees

Whert you sign the Franchise Agreement yoU must pay us a $50,000 Initial Franchise Fee (“Initial Franchise Fee'') payable in full You must also pay us $1,500.00 to $3,000.00 for your opening inventory, marketing materials and supplies. Other than the Initial Franchise Fee and the payment for opening inventory and supplies, there are no other initial fees charged to you

Financing

Neither we nor any agent of ours offers direct or indirect financing. We do not guarantee your note, lease or obligation. We do not currently place financing with anyone and do not receive any payment for the placement of financing. We do not have any past or present practice or intention to sell, assi^ or discount to any third party, in whole or in part, any financing arrangements. We reserve the right to offer financing or assist franchisees in obtaining financing in the future. In oUr sole discretion. We may defer payment by you up to a maximum of 2/3 of the initial franchise fee. We may in our sole discrefion permit you to pay the balance of the initial franchise fee; over a period of 24 months, at an interest rate of 5% annually, until such time as the balance is paid in full.

Franchisee Revenue and Profit

The FTC's Franchise Rule permits a franchisor to provide information about the actual or potential financial performance of its franchised and/Or franchisor-owned outlets, if there is a reasonable basis for the information, and if the information is included in the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of an existing Outlet you are considering buying; or (2) a franchisor supplements the information provided in this Item 19, for example, by providing infonhatioii about possible performance at a particular location or under particular circumstances.
