For ease in eomprehension of this Franehise Disclosure Document (“Disclosure Document”), the following definitions will apply:: “We” or ‘^Our” or “Us” refers to the Franchisor, WINE AND DESIGN FRANCHISE LLC; “You” and “Your” refers to the franchisee, whether a person or legal entity, pUfeh^ing the franchise, including, if any, such legal entities owners, partners, members, controlling shareholders; and guarantors.

Prior Experience

Our predecessor. Wine and Design, LLC, a limited liability company was formed in North Carolina in June 20 to, granted WINE & DESIGN franchises from 201G to May 2011. In June, 2011, Wine, and Design, LLC ceased selling franchises and assigned all existing franchise agreements to tis. In June 2011, under a licensing agreement with Wipe and Design, LLC, we were granted the worldwide franchise development rights and use of all trademarks, intellectual property, and designs to operate and grant third parties the right to operate franchised WINE & DESIGN Studios., In Septembei; 2014, the WINE & DESIGN trademarks, intellectual property, and designs were assigned from Wine and Design, LLC to us, Wine and Design LLC Was not engaged in any other business and did not offer franchises other than in connection with this concept. In Januaty 2016^ Wine and Design LLC was administratively dissolved; We have no parents Or affiliates that must be disclosed

Business Offered

As a Wine & design franchisee, you will own and operate a paint and sip studio offering fun art classes. Our franchisees have access to ,5 divisions: “Aft Buzz Kids” for children, “On Wheels” for mobile events, “Paint it Forward” fOr fundraising, “Team Building” for businesses, and Do it Yourself (D.LY.)” for craft projects. These (programs offer painting parties at or from the studios operated by our franchisees. We have a distinctive system for the operation of WINE & DESIGN Studios that includes: copyrighted artwork and designs; distinctive design,, decor, color scheme, and furnishings; integrated website; standards, specifications, and procedures fOr operations; training and assistance; and advertising and promotion programs; all of which We may improve, amend, and further develop frOm time-to-time. The typical Wine & Design franchise is operated in leased space (freestanding or Otherwise) located in the commercial areas Of neighborhoods or more densely populated commercial areas.

Initial Fees

The initial franchise fee for a Wine & Design franchise is $25,O0O, and is due when you sign the Franchise Agreement.

Financing

At this time, neither we nor our affiliate offer direct or indirect financing. We do not guarantee your note, lease or obligation

Franchisee Revenue and Profit

The FTC' s Franchise Ruleipermits a franchisor to provide information,about thesactual or potential financial performance of its frariehised' and/or franchisorTOwned outlets- if there is a reasonable basis' for the information, and if the ihforrnation is included m the disclosure document. Financial performance information that differs from that included in Item 19 may be given only if: (1) a franchisor provides the actual records of ait existing Studio you are considering buying; or (2) a franchisor supplements the informatipn provided in this Item 19; for ejamplei by providing informatign about possible perforrnance at a particular location or under particular circumstances.
